Practice Experience
Mr. Pesant is a member of White & Case's Securitization Practice where he focuses on advising clients in connection with securitizations, leveraged investment funds and complex financing transactions, including significant corporate lending transactions and a variety of asset-based lending and fund formation transactions.
His structured finance experience includes commercial fleet and other receivable securitizations, and collateralized debt and loan obligation issuances (including "market value" type transactions). He has advised investment managers in connection with the restructuring of complex investment vehicles including CDOs. Mr. Pesant has experience in a broad variety of capital structures and an appreciation of the different interests of investors at different levels of those structures.
Among the clients he has represented are PHH Corporation, Morgan Stanley, Sankaty Advisors, Ares Management, Deutsche Bank, Kelson Energy and Starwood Capital Group.
Mr. Pesant's experience includes diverse sources of financing including the representation of clients in transactions with private placements, Rule 144A and Regulation S offerings as well as revolving and syndicated credit facilities.
Recent representative experience:
- Representation of PHH Corporation in connection with the issuance of $500,000,000 Series 2011-1 Floating Rate Asset Backed Variable Funding Notes by Chesapeake Funding, a wholly-owned subsidiary of PHH Corporation.
- Representation of Morgan Stanley as placement agent in connection with $690,000,000 note issuance by Central Park CLO, Ltd.
- Representation of Sankaty Advisors in connection with the restructuring of Prospect Funding I, LLC, a market value CDO with over $1,000,000,000 of aggregate issued debt.
- Representation of Ares Management in connection with the formation of Ares Enhanced Credit Opportunities Fund II, Ltd. and the incurrence of a $75,000,000 revolving credit facilty and a $50,000,000 delayed draw term loan facility. The purpose of the facility was to fund the acquisition of a diverse portfolio of financial assets.
- Representation of Deutsche Bank and HSBC, as Lead Arrangers and Bookrunners, in connection with the provision of acquisition financing comprised of an $800 million B term loan facility and a $240 million revolving credit facility to Styron S.a r.l. The purpose of the financing was to facilitate the purchase by Bain Capital Partners, LLC. of the styrene business of the Dow Chemical Company.
