Practice Experience
Carmen Reynolds is Of Counsel in the Regulatory Practice of the Banking & Capital Markets Group in London. She specialises in financial services advisory work providing regulatory risk management advice to investment banks, broker-dealers, private banks and investment funds, working on new business and product launches, regulatory transaction and project structuring, acquisitions and disposals in the financial services sector, the application of UK and EU financial services legislation and Financial Services Authority and UK Listing Authority rules. She also works with firms and individuals on FSA investigations and enforcement. Much of Carmen's work involves a cross-border element.
In 1999 and 2000, Carmen was seconded to the UK Treasury as a policy adviser helping with the development of the Financial Services and Markets Act and the establishment of the FSA. She currently participates in various industry committees considering UK and EU regulatory reform, including working groups of The Financial Markets Law Committee, the Law Society of England and Wales and the Alternative Investment Management Association.
Carmen is "recommended" by Legal 500 UK 2011, with the regulatory team being described as " entrepeneurial, problem solving and reliable" (Legal 500 2011 and 2008). Chambers UK 2011 describes her as " particularly strong in advising on the regulatory aspects of major transactions."
Representative transactions include:
- Establishing a new private bank in the UK
- Establishing new investment managers, broker dealers and corporate finance advisers
- Advising on the application of FSA conflicts and disclosure rules in various contexts
- Working with an investment bank on the operation of various transaction booking arrangements
- Dealing with the regulatory aspects of major cross border acquisitions and disposals
- Providing regulatory advice in the context of ECM, DCM and securitisation transactions, restructurings and distressed scenarios
