Practice Experience
Carolyn J. Vardi is a senior associate in the M&A Practice Group. She began her legal career at White & Case and is resident in the NY office.
Ms. Vardi represents buyers and sellers in domestic and international public and private mergers and acquisitions (including joint ventures and equity co-investments). This involves the representation of domestic and international corporate clients in a broad range of industries, private equity funds and commercial banks (and their private equity affiliates). Ms. Vardi's practice is particularly focused on representing private equity firms with respect to their acquisitions and dispositions of portfolio companies. She has also advised on several bankruptcy related matters and regularly counsels clients on general corporate matters and corporate governance.
Recent matters include the representation of:
Deutsche Bank AG in connection with its $1.6 billion sale of its late-stage private equity portfolio in a management sponsored buy-out led by MidOcean Capital Partners, which was among the largest and most complex secondary buyout ever completed;
Consorcio Comex S.A. de C.V., Mexico's largest paint manufacturer, in its acquisition of Professional Paint, Inc, a leading manufacturer and distributor of architectural paints and coatings, from New York private equity boutique Jordan Co. L.P.;
Natural Products Group, LLC in connection with its third dividend-producing recapitalization. NPG entered into a first lien term loan of $385 million, a second lien term loan of $195 million and a new Holdco loan of $135 million;
Wellpoint, Inc., the nation’s leading health benefits company with approximately 28 million medical members nationwide, in its acquisition of Lumenos, Inc.;
Private equity firm Quad-C Management, Inc. and its portfolio company, Polaris Pool Systems, Inc. in connection with the acquisitions of several companies in the pool and spa industries, the creation of a platform company and the subsequent sale of Polaris to The Zodiac Group, a publicly traded French Company; and
Private equity firm Harvest Partners, Inc. in its $462 million cash tender offer to purchase all of the outstanding shares of common stock of Associated Materials Incorporated, a leading manufacturer of vinyl siding and other exterior residential building products.
