Practice Experience
David Cox has advised on a wide range of commercial real estate matters and many headline transactions, both domestic and international. He concentrates in real estate finance (advising both lenders and borrowers), advising real estate investment funds in connection with acquisitions and disposals (typically involving complex tax and corporate structures), corporate real estate outsourcing, sale and leasebacks, and the real estate aspects of corporate and finance transactions.

David joined White & Case in September 2003.

Recent representations in the areas of real estate and real estate finance include:
  • Advising Starwood Capital in connection with the acquisition and financing of City Tower, London.
  • Representing Doughty Hanson & Co Real Estate, one of the largest European real estate fund managers, and Liberty Property Trust, a US based REIT, on their joint venture acquisition of Blythe Valley Park Solihull, UK, from The British Land Company PLC for up to £160 million.
  • Representing Capmark Bank Europe plc in the financing for NYSE-listed global real estate investment firm W.P. Carey & Co. LLC, in connection with a €335 million sale-and-leaseback transaction with German Do-It-Yourself retailer Hellweg Die Profi-Baumärkte GmbH & Co. KG (Hellweg) and its affiliates.
  • Acting for Land Securities Trillium in connection with PRIME, one of the largest ever real estate Private Finance Initiative transactions in the UK, relating to the real estate and facilities management outsourcing of approximately 2,000 UK Government premises and recently acting in connection with the refinancing of the portfolio;
  • Representing Land Securities Trillium on its high profile deal with Barclays Bank PLC which included the sale-and-leaseback of three buildings in the Midlands, England and an innovative real estate outsourcing arrangement relating to various surplus leasehold properties in London and the South East of England.
  • Representing Land Securities Trillium in connection with a 12.1 acre development site.  Our advice included assisting our client secure planning permission for the site, dealing with all title aspects, negotiating a complex sale and leaseback structure and the ultimate disposal of the site.
  • Representing ABN AMRO in connection with €192 million German real estate finance transaction
  • Representing UBS in connection with a €200 million real estate finance transaction in Finland.
  • Representing Doughty Hanson & Co Real Estate, one of the largest European real estate fund managers, in relation to the joint venture with Liberty Property Trust, a US-based REIT, and acquisitions of 20 office buildings at Kings Hill Business Park, Kent, England.
