Practice Experience
David Manson is an associate in the Firm's Banking & Capital Markets group in
London
, specialising in financial restructurings and insolvency. David has particular expertise in relation to solvent schemes of arrangement for insurance companies, and advising on all aspects of administrations, receiverships and liquidations, (including drafting and negotiating agreements for sales of business and assets, share sale agreements, assignments of IP rights and goodwill).
Before joining White & Case, David was a solicitor in the Corporate Recovery and Restructuring Team within the Banking and International Finance Department of an international law firm.
Representative transactions (prior to joining White & Case) include:
Acting for BNP Paribas and CIBC as mandated lead arrangers on a secondary buy-out of Armacell International Gmbh, the Germany based technical foam manufacturer from CVC Capital Partners Limited by Investcorp SA, the listed Bahrain based global investment group;
Acting for a group of commonwealth insurance companies to prepare solvent schemes of arrangement in the
UK
and overseas as an alternative to continuing to run-off their existing insurance business;
Acting for DAP Holding N.V. on behalf of the Dutch Aviation Pool to prepare and promote a mixture of 17 solvent and 1 insolvent schemes of arrangement;
Acting for the administrators of The Nightclub Company (UK) Limited (in administration) in relation to a number of asset sales/property disposals, and providing specific insolvency advice to include specific advice on the insolvency implications of the new licensing regime under the Licensing Act 2003;
Acting for various pension trustees in connection with the reduction of the risk based levy payable by eligible pension schemes to the Pension Protection Fund under the provisions of the new Pensions Act 2004;
Acting for the administrators of Vida Sports Limited (in administration);
Acting for the administrators of Huntsman & Sons Limited (in administration) in relation to the sale of the business and assets of the company; and
