Practice Experience
David Manson is a senior associate in the Firm's Financial and Restructuring team in London, focusing on financial restructurings and insolvency. David advises banks, noteholders, funds, insolvency practitioners and companies on all aspects of insolvency, reconstructions, and national and cross-border restructurings.
David has acted on several recent high profile restructurings, including: acting for GSO Capital Partners LLP, as lead investor, in the refinancing of the US$1 billion debt of the world's largest alumina company Almatis; advising the senior steering committee of lenders on the sale and financial restructuring of ALcontrol, the Anglo-Dutch laboratories testing business; and advising EN+ on the financial restructuring of EN+ Group and certain companies within the Basic Element Group, including EN+'s refinancing of a $1.05 billion loan with a syndicate of lenders including approximately 40 lending institutions.
David's other representative instructions include:
- Advising funds and institutions on a variety of European distressed credits including, McCarthy Stone, Bulgaria Telecom, and Northern Rock;
- Acting for the administrators, and subsequently the liquidators, of the Sendo Group of companies, the UK's only independent mobile phone handset manufacturer including drafting and negotiating business sale agreement and advising on all aspects of the administrators rights and duties;
- Acting for investors including Avenue Capital in respect of a loan and equity subscription in Avanti Infrastructure Limited, a UK, AIM-listed satellite company;
- Acted for firm of insolvency practitioners in respect to a proposed "pre-packaged" administration of UK-based specialised chemical manufacturer British Vita as a potential solution to restructure its debt facilities and businesses;
- Acting for BNP Paribas and CIBC as mandated lead arrangers on a secondary buy-out of Armacell International Gmbh, the Germany-based technical foam manufacturer from CVC Capital Partners Limited by Investcorp SA, the listed Bahrain-based global investment group;
- Acting for Deutsche Bank with respect to Nylstar;
- Acting for a US investment bank in the structuring of a debt and equity investment in a Nigerian telecoms company, including preparation of bespoke loan documentation, and advice on governance issues;
- Advising banks and bondholders on financial restructuring opportunities, live distressed and restructuring matters, and other banking matters;
- Advising banks and hedge funds in the sale and purchase of distressed debt, both in bespoke trades, and pursuant to LMA standard terms and conditions.
