Practice Experience
Mr. Nam's practice focuses on corporate finance transactions and general securities and corporate matters.  He has represented numerous investment banks and issuers in public and private high-yield debt, equity and equity-linked securities offerings, as well as bridge financing commitments, debt tender offers and consent solicitations, in a broad range of industries.  Mr. Nam has also represented financial sponsors in connection with the financings of public and private mergers and acquisitions.  In addition to corporate finance transactions, Mr. Nam advises clients in general securities and corporate matters, including ongoing disclosure obligations and corporate governance issues under the U.S. federal securities laws and compliance with the rules and regulations of the New York Stock Exchange and The NASDAQ National Market.  Prior to joining White & Case, Mr. Nam was an associate at another leading New York law firm.

Representative transactions include the representation of:
  • Credit Suisse First Boston LLC as initial purchaser in high-yield debt offerings, including those by Calpine Corporation, Ferrellgas Partners, L.P., Foamex L.P., Hercules Incorporated, Metaldyne Corporation and TriMas Corporation;
  • Goldman, Sachs & Co. in the negotiation of bridge financing commitments and/or as initial purchaser in high-yield debt offerings, including those by National Waterworks, Inc., Office Depot, Inc., Pogo Producing Company, Stanadyne Corporation and The William Carter Company;
  • The Carlyle Group and Welsh, Carson, Anderson & Stowe in their $7.1 billion acquisition of Qwest’s directory business (as of the closing date, the second largest LBO transaction in history), including seven 144A high-yield debt offerings totaling $3.4 billion, $1.0 billion initial public offering and $420 million secondary offering; and
  • Allied Waste Industries, Inc. (the third largest issuer of high-yield debt) in 11 public and private high-yield debt offerings totaling $4.6 billion and five equity and equity-linked securities offerings totaling $1.4 billion.
