Emilio J. Alvarez-Farré concentrates in cross-border mergers and acquisitions, including privatizations, and international financial transactions. He has represented Corporacion Durango S.A. de C.V., the largest paper company in Latin America, in several acquisitions and dispositions in the U.S., as well as in its restructuring of over $800 million of financial indebtedness completed in 2005.
Mr. Alvarez-Farré represented Corporación de Fomento de la Producción, the Chilean privatization agency, in the privatization of Emos, the Chilean water company, and the Fondo de Inversiones de Venezuela, the Venezuelan privatization agency, in the privatization of C.V.G. Siderúrgica del Orinoco, C.A., the Venezuelan steel company.
He advised the Republic of Argentina in the global offering of the shares of Yacimientos Petroliferos Fiscales, S.A., one of the largest initial public offerings ever, and in the initial public offerings of shares of MetroGas, a gas distribution company, and of Transportadora de Gas del Norte, S.A., a gas transportation company.
He represented Bankers Trust Company and BNP Paribas in leveraged financings to the Exxel Group and Advent International in Argentina and Mexico.

Representing Santander Central Hispano in acquisition financing provided to Arcos Dorados.
Represented Advent International in its bid to acquire Amanco, the largest manufacturer of PVC pipes, in Latin America.
Represented HSBC Bank plc, as administrative agent, in a $500 million senior revolving credit facility for CVRD International, S.A., guaranteed by its parent, Companhia Vale Do Rio Doce, a Brazilian mining company which is the world's largest iron ore exporter.
Represented a private equity firm in connection with the acquisition of a 10 percent equity interest in Comunicaciones Celulares, S.A., the largest cellular company in Guatemala.
Represented HSBC Bank plc, as administrative agent, in a $400 million senior liquidity facility for Banco Itaú, S.A., a Brazilian bank, acting through its Cayman Islands branch.
Assisted Tyson Foods, Inc. in a joint venture in Argentina.
Represented Banco Santander Central Hispano, S.A., New York Branch, as syndication agent, bookrunner and mandated lead arranger, in a $280 million syndicated project financing for EPIC Miami Hotel & Residences, a 55-story hotel and condominium project in Miami, Florida.
Represented a private equity firm in a minority equity investment in International Consolidated Minerals, a company with interests in Peru.
Represented Corporación Andina de Fomento (CAF), a multilateral development bank, as lender in a $100 million A/B loan facility to Empresa Brasileira de Telecomunicações S.A. – Embratel, which owns the largest telecommunications network in Brazil.
Represented two private equity firms in connection with the formation of a joint venture to acquire oil and gas exploration and production rights in Texas and Oklahoma.
Represented a group of private equity firms in the acquisition of a significant equity position in BRA Transportes Aéreos.
Represented Banco Santander Central Hispano, S.A. (New York Branch) as administrative agent in a $63 million senior unsecured syndicated financing for S.A.C.I. Falabella, acting through its Uruguay branch Falabella Sucursal Uruguay S.A.
Represented a private equity firm in connection with a minority equity investment in Caza Oil & Gas, Inc., a Canadian company which engages in the exploration, acquisition and development of oil and natural gas properties in the United States.
Represented a consortium of private equity firms in its bid to acquire a controlling equity stake in the largest electrical utility in Rio de Janeiro.
Represented Santander Central Hispano in a $60 million syndicated term loan facility to Industrias Innopack, S.A. de C.V.
Represented Home Mart, the leading Mexican home improvement store, in connection with its $300 million sale to Home Depot.
Represented Shaw Capital S.A., in the acquisition of shares of Ogden Argentina S.A.
Represented Telepuerto Internacional de Buenos Aires, S.A. in the sale of all its equity interest in Intelsat, S.A. to an affiliate of GE Capital.
Represented Symbios Capital in the sale of its equity interest in Phoenix Capital Limited, a British Virgin Islands holding company with subsidiaries in the packaging business.
Represented Symbios Capital in its equity investment in Digitel S.A., a Venezuelan cellular company.
Represented Corporación Durango, S.A. de C.V. in connection with its disposition of the molded pulp packaging business of its subsidiary, Empaques de Cartón Titán, S.A. de C.V.
Advised Compañia de Radiocomunicaciones Moviles S.A. in its restructuring of $500 million of financial debt.
Represented Corporación Andina de Fomento (CAF), a multilateral development bank, as lender in an amended and restated $131 million A/B loan facility to Empresa Brasileira de Telecomunicações S.A. – Embratel, a Brazilian company which owns the largest telecommunications network in Brazil.
Advised Banco Creditanstalt, an Argentine commercial bank, in its restructuring of its financial debt.
Represented Rabobank International and HSBC Bank USA, as lenders, in $50 million aggregate pre-export finance facilities for S.A. San Miguel A.G.I.C.I. y F.
