Mr. Berg's legal practice covers a broad range of finance matters, with a particular emphasis on the representation of lead agents and underwriters in leveraged finance transactions. He is involved in all aspects of deal structure, negotiation and documentation, including the negotiation of intercreditor relationships, compliance with margin regulations and, in the case of international transactions, structuring financings to maximize tax efficiencies. Mr. Berg has extensive experience in hostile takeovers as well as in negotiated public and private acquisitions and recapitalizations. Mr. Berg has also worked on a wide variety of representations in the reorganization and workout area.
Representative clients of Mr. Berg include Deutsche Bank, Citigroup and Morgan Stanley. Among recent financings in which Mr. Berg was lead counsel representing the agent or agents for the senior bank group are the following: the Exit Financing Facilities for Calpine; The Dow Chemical Group acquisition of Rohm & Haas Co.; Fresenius SE acquisition of APP Pharmaceuticals Inc.; Owens Corning exit financing; Aleris International's purchase of the Downstream Aluminum Business of Corus Group plc; TPG's purchase of Aleris International; Renal Advantage and BWay. He also represents borrowers in a variety of matters.
