Practice Experience
Emma Fleming is an associate in the Firm's Bank Finance Group in New York. Emma's experience include advising clients in relation to international acquisition finance transactions, financial restructurings and general bank lending. Emma joined White & Case in August 2005 and worked in the Firm's London office for four years and the Firm's Hong Kong office for six months. Emma has spent six months on secondment to the legal team at Goldman Sachs International in London.

Representative transactions include:
  • Acting for the senior steering committee of lenders to ALcontrol, a leading European environment and food testing group, in relation to its consensual sale and restructuring of its €290 million debt.
  • Acting for Deutsche Bank as solicitation agent and facility agent in relation to the buy-back by Smurfit International B.V., a guarantor, of up to €100 million of senior term debt outstanding under the Smurfit Kappa acquisition facilities by way of a Dutch auction.
  • Acting for Deutsche Bank in connection with the €3.3 billion acquisition of Actavis Group hf, the Icelandic pharmaceuticals products company, by the UK-based private equity firm Novator Partners LLP.
  • Acting for the lenders in connection with an amendment to the Smurfit Kappa €3.8 billion senior credit facilities agreement and other finance documents to provide for, amongst other things, the issuance of bonds to refinance a portion of the term loan facilities.
  • Acting for Dutch utility company Essent N.V. in connection with amendments to a revolving facility agreement to reflect the corporate restructuring of Essent as required by legislation relating to the deregulation of the Dutch energy sector.
  • Acting for the senior banks, Deutsche Bank AG, London Branch, Goldman Sachs International, JPMorgan plc and The Royal Bank of Scotland plc in connection with the £5.1 billion financing for the merger of UK cable operators NTL Incorporated, acting through a wholly owned subsidiary, and Telewest Global, Inc. The total consideration was valued at approximately US$6 billion and included the refinancing of existing indebtedness following the NTL/Telewest merger and facilities for the subsequent acquisition of the Virgin Mobile Group.
  • Acting for the Mandated Lead Arrangers Calyon, Deutsche Bank AG, London Branch, BNP Paribas and Société Générale in relation to a €2.6 billion (subject to increase to €2.9 billion) senior asset financing loan in the form of a secured borrowing base loan coupled with a €250 million senior secured revolving credit facility in connection with Europcar Groupe SA and Eurazeo's acquisition of Europcar Group, the leading car rental organisation in Europe.
  • Acting for Red Diamond Capital in connection with its acquisition of Avon Rubber plc, involving loans amounting to US$95 million under senior and second lien credit agreements.
