Practice Experience
Mr. Flores' practice includes corporate law, mergers and acquisitions, securities and bank finance. Mr. Flores has advised underwriters and issuers in security offerings in the Mexican and foreign markets. He has participated in the offerings of securities of the Government of the Federal District, HSBC México (issuance of residential mortgage-backed securities and subordinated obligations program), HSBC Panamá, Banorte (securitization of UMS securities, securitization of loans granted to states and municipalities, subordinated obligations program and bank debt securities program), CFE (program for the financing of Public Financed Infrastructure and program to finance preoperative expenses for infrastructure projects) and Banamex (securitization of a US$2.8 billion loan granted to the Mexican Institute for Protection of Bank Savings (IPAB), securitization of UMS securities and bank debt securities program).

Also, Mr. Flores participated in the first issuance of insurance linked securities (cat-bonds) by a Latin-American country, made by the Fund for Natural Disasters of Mexico (Fondo de Desastres Naturales – FONDEN), whereby the Mexican Government acquired coverage against catastrophic risks derived from earthquakes. Furthermore, Mr. Flores also participated in the second issuance of cat-bonds, whereby FONDEN renewed its earthquake coverage and also acquired hurricane coverage.

Mr. Flores was a member of the group of attorneys that represented The Coca-Cola Company and Coca-Cola FEMSA in the public tender offer for the acquisition of Jugos del Valle. Likewise, Mr. Flores advised a shareholder of Nadro on the sale of its 30 percent interest of such company though a public tender offer. Mr. Flores also represented Grupo Financiero Banorte in the sale of approximately 4.5 percent interest in the capital stock of Banorte to International Finance Corporation.

Before joining White & Case, Eduardo Flores worked for a prestigious law firm in Guadalajara, where he focused mainly on corporate and migratory matters.
