Mr. Handler is an associate in the U.S. Capital Markets Group. His practice focuses primarily on corporate finance and general securities and corporate law matters.

Mr. Handler has represented both issuers and investment banks in a variety of publicly and privately placed debt and equity securities offerings, as well as bridge financing commitments, debt exchange offers, debt and equity tender offers and consent solicitations. In addition, Mr. Handler regularly advises clients with regard to general securities and corporate law matters, including ongoing disclosure obligations and corporate governance issues under the U.S. federal securities laws and compliance with the rules and regulations of the New York Stock Exchange and the NASDAQ. Recent representations include: 

• Acting as counsel to the initial purchaser in connection with a private placement by Hollywood Theaters, Inc. of 157,000 units, consisting of $157 million aggregate principal amount of senior secured floating rate notes due 2013 and 157,000 warrants to purchase common stock. 
• Acting as counsel to the dealer-manager in connection with an exchange offer and consent solicitation by AbitibiBowater, Inc. for approximately $1.8 billion aggregate principal amount of its outstanding notes, and concurrent notes offering for cash. 
• Acting as counsel to the dealer-manager in connection with a debt tender offer by Triad Financial Corporation for up to $90 million aggregate principal amount of its 11.125% senior notes due 2013. 
• Acting as counsel to the dealer-manager in connection with a "modified Dutch auction" tender offer by Actuate Corporation for up to $60 million worth of its common stock. 
• Acting as counsel to the San Pasqual Casino Development Group, Inc. in connection with a consent solicitation with respect to its $180 million aggregate principal amount of 8% senior notes due 2013.
