Practice Experience
Mr. Yoon practices in the areas of law affecting banking and financial services industry, advising U.S. and foreign clients of the Firm in connection with product and geographic expansion of their securities, commodities and derivatives-related activities, as well as traditional commercial banking activities. He has assisted the Firm’s European and Asian banking clients in the expansion of their U.S. operations, through a going-concern acquisition, establishment of a
de novo
entity or formation of a joint venture, in the areas of asset management and private banking, securities underwriting and dealing, commodities trading and brokerage, commercial and consumer finance, and securitization.
Mr. Yoon also is the head of White & Case’s Korean practice. He advises the Firm’s clients on mergers and acquisitions, general corporate and other transactional matters. He represents clients who enter into cross-border acquisitions, divestitures and joint ventures and has also represented clients in credit transactions, capital markets transactions and the establishment of offshore funds and U.S. commercial paper programs.
With respect to matters involving Asia or Asian clients, Mr. Yoon has recently represented the following clients:
the Government of the Republic of Korea
in connection with the sale of a controlling interest in Korea First Bank to a consortium led by Newbridge Capital;
GE Capital Commercial Finance
in its acquisition, through a consortium formed with Merrill Lynch, of non-performing loan portfolios in various auctions by Korean originators (including Seoul Bank) and governmental agencies (including The Resolution and Finance Corporation);
GE Capital Commercial Finance
in its proposed acquisition of non-performing loan portfolios, in an auction or privately-negotiated transaction, from Chinese and Taiwanese sellers;
AIG
group entities in their co-investment with Bell Canada in Hansol M.com, a mobile telecom company in Korea, and their subsequent divestiture;
Hanchang Corporation
in its sale of Nowcom, an Internet service provider, to Korea Thrunet;
Emerging Markets Partnership
and
AIG funds
in an acquisition of a significant minority stake in Dreamcity Cable TV Co., a Korean cable TV company;
acting as fund counsel to
Seoul Z Capital Partners,
a private equity fund sponsored by Capital Z, Soros Fund Management and Seoul Securities Company;
Daewoo Electronic Co.
in a global auction of its six business divisions;
SK Global Co., Ltd.
in connection with a significant logging project in a Southeast Asian country; and
SK Engineering & Construction Co., Ltd.
in connection with an oil refinery modernization project in a Latin American country.
