Practice Experience
Glen is Co-Head of the firm’s Global Mining & Metals Group. He has a broad range of experience in the mining and metals industry, including advising on the development of early stage mineral exploration projects, significant mergers, acquisitions and divestitures, initial public offerings and stock exchange listings, capital markets transactions and mining project developments and financings.
Glen is recognised as a leading legal advisor to the mining industry by the UK Legal 500. He is a regular speaker at mining industry conferences and teaches at the Centre for Energy, Petroleum and Mineral Law and Policy on joint ventures in the mining industry.

Representative projects and transactions include:

Project Financings
  • Representation of the lead arrangers in connection with the U$2bn 144A Reg S bond and US$4.67bn bank financing of the EMAL Aluminium smelter project, the world's largest aluminium smelter;
  • Representation of Cahya Mata Sarawak Berhad in connection with the development and financing of an aluminum smelter located in Sarawak, Malaysia;
  • Representation of Gold Fields (as sponsor) and the project company in connection with the development and financing of the US$340 million greenfield Cerro Corona gold-copper project in Peru, including advice on all major project agreements and negotiation of financing documentation;
  • Representation of Global Alumina Corporation in connection with the development of the proposed £3.5 billion Sangaredi alumina refinery (and related power plant and infrastructure) in the Republic of Guinea;
  • Representation of Gold Reserve Inc. in relation to the proposed development of the Las Brisas Gold and Copper Project in Venezuela;
  • Representation of Guinea Alumina Corporation, S.A., an indirect wholly-owned subsidiary of Global Alumina Corporation, in connection with the development and project financing of a US$2.4 billion bauxite mine and alumina refinery in the Republic of Guinea;
  • Representation of Alcan in connection with its joint venture with the Saudi Arabian mining company Ma'aden to develop a US$10 billion integrated aluminium "mine-to-metal" aluminium project in the Kingdom of Saudi Arabia;
  • Representation of Rio Tinto Alcan in connection with the development and financing of the proposed US$3 billion Coega aluminium smelter project in Port Elizabeth South Africa (including the recently-signed 1355 MVA 25-year electricity supply agreement with Eskom);
  • Representation of Rusal and Hydro OGK on the development and project financing of the proposed US$3.6 billion Boguschanskaya hydro power and aluminium smelter complex in Siberia, Russia;
  • Representation of Arcelor MITTAL in connection with the development of its greenfield iron ore and steel project in the State of Jharkhand, India; and
  • Representation of Alcan, ADWEA and Oman Oil on the development and project financing of the US$2.4 billion Sohar power plant and aluminium smelter project in Oman.

Mergers & Acquisitions
  • Representation of Global Alumina Corporation, in connection with the issuance of a two-thirds interest in its subsidiary, Guinea Alumina Corporation, Ltd., to DUBAL, BHP Billiton and Mubadala Development for a total issuance price of US$260 million. This joint venture was formed to develop and operate the Sangarédi Alumina Refinery in the Republic of Guinea.
  • Representation of Kazakhmys Plc, a Kazakh copper mining corporation, on its US$260 million offer to purchase all of the issued and out-standing shares of Eurasia Gold, a TSE-listed Canadian gold mining company;
  • Representation of Outokumpu on the sale of certain parts of its copper and brass business;
  • Representation of Gold Fields on its US$5 billion proposed merger with Franco-Nevada;
  • Representation of BHP Billiton on the reorganisation and sale of its worldwide gold interests;
  • Representation of Outokumpu of Finland in connection with the €750 million sale of upstream European mining and smelting assets to Boliden of Sweden;
  • Representation of Gold Fields on the disposal of its interest in the Bogoso gold mine in Ghana to International Finance Corporation;
  • Representation of Kalahari Diamonds on its acquisition by Petra Diamonds;
  • Representation of an Irish mining company and RBC Royal Bank in connection with a redomiciling and listing;
  • Representation of Outokumpu on its US$200 million acquisition of Norzink, a zinc refining company based in Norway, from Rio Tinto and Boliden;
  • Representation of Randgold Resources (and related companies) in connection with their proposed restructuring and redomiciling and listing;
  • Representation of Gencor on the disposal of its West African gold interests to Normandy LaSource (now Newmont Mining);
  • Representation of Normandy LaSource (now part of Newmont Mining) on its acquisition of a controlling interest in a mine in Turkey; and
  • Representation of Outokumpu on its €75 million disposal of the Pyhasalmi mine in Finland to Inmet Mining, and on related off-take and commercial arrangements between Outokumpu and Inmet.

International Securities Offerings
  • Representation of on numerous other international securities offerings for a range of mining and other resource companies based in Canada and Europe, acting for issuers and underwriters.

Privatisations and Concessions
  • Representation of Rio Tinto on its concession for the Jarandol boron deposit in Serbia;
  • Representation of the winning bidder on the US$200 million privatisation of the Legadembi gold mine in Ethiopia; and
  • Representation of Inmet Mining on the privatization of the Cayeli mine in Turkey.
