Practice Experience
Gerard Uzzi is a partner in the Firm's Financial Restructuring and Insolvency Group. Mr. Uzzi regularly appears nationwide in corporate bankruptcy matters and workouts on behalf of troubled companies and other parties in interest.
Mr. Uzzi has represented clients in diverse industries, including retail, automotive, energy, telecommunications, cable, entertainment and manufacturing. As noted in Legal 500 (2008), he has been involved in a "plethora of major creditor and debtor" representations, many noteworthy because of their complexity and precedent-setting legal decisions.
Clients and the legal community praise Mr. Uzzi for the proactive and strategic vision he applies to every case. He is noted for his ability to constantly anticipate the actions of the parties and counterparts on the other side of the table. As reported by a high-profile client from Legal 500 (2008), "He did an exceptional job, staying focused throughout, coordinating the various efforts, and thinking proactively about how to handle various issues that might come up in the case."
He has been a driving force in some of the nation's most significant and historical restructurings and bankruptcy representations in recent history, including:
- Lehman Brothers, where the chapter 11 cases of Lehman Brothers Holdings Inc. and its affiliated debtors comprise the largest bankruptcy in US history, Mr. Uzzi represents the Ad Hoc Group of Lehman Brothers Creditors, who hold claims in excess of US$13 billion against Lehman Brothers Holdings;
- Washington Mutual, the largest bank failure in United States history, where Mr. Uzzi serves as counsel to the Washington Mutual Noteholders Group, the key stakeholders in Washington Mutual's chapter 11 proceeding;
- Charter Communications, where he is representing the indentured trustee, the Law Debenture Trust Company of New York, with respect to claims involving US$479 million in Charter Communications' convertible senior notes;
- Global Safety Textiles Holdings and eight of its subsidiaries, where he is debtors' counsel in their chapter 11 restructuring. These companies are Tier II suppliers of automotive airbag components;
- Mirant Corporation, one of the largest producers, generators and marketers of electricity in the world, Mr. Uzzi served as lead debtors' counsel in its successful chapter 11 reorganization before the US Bankruptcy Court for the Northern District of Texas involving more than US$10 billion in debt—the largest bankruptcy filing in the US in 2003 and one of the largest energy industry bankruptcies in US history. The Mirant engagement was a critical component of the Firm being named the 2006 IFLR "Restructuring Team of the Year";
- Adelphia Communications, among the largest and most complex inter-creditor disputes ever filed in the US Bankruptcy Court for the Southern District of New York, Mr. Uzzi served as counsel to the Ad Hoc Committee of Arahova Noteholders, one of the principal creditor constituencies in this hotly contested chapter 11 filing, which included significant inter-debtor litigation. After extensive litigation, White & Case was able to secure an additional US$2 billion of distribution for Arahova Noteholders, resulting in a near full recovery for the Firm's clients;
- Delphi, the spun-off parts manufacturer of General Motors, whose chapter 11 filing was one of the largest manufacturing bankruptcy cases in US history, Mr. Uzzi acted as counsel to Appaloosa Management, one of the largest shareholders of Delphi and principal investor under Delphi's proposed restructuring;
- Global Power Equipment Group, as debtor's counsel to a leading manufacturer of turbine components and related equipment for the domestic and international power generation industry, Mr. Uzzi developed and negotiated a fully consensual chapter 11 plan that provided for a full recovery to substantially all creditors. Existing shareholders were also able to retain a material stake in the company;
- Communications Dynamics, Inc. (CDI), one of the leading suppliers of construction, maintenance, and rebuild products to the cable industry. CDI accounted for 25 percent of the US market for cable infrastructure equipment sold through distributors. Mr. Uzzi acted as lead counsel to CDI in the chapter 11 cases before the US Bankruptcy Court for the District of Delaware; and
- Heartland Automotive, the largest independent franchisee and operator of Jiffy Lube quick-lube service centers in the United States, Mr. Uzzi has served as debtors' counsel in their successful chapter 11 reorganization. He developed and negotiated a fully consensual chapter 11 plan that provided for a full recovery to substantially all their creditors.
