Practice Experience
Mr. Derhalli is a partner in White & Case's Energy, Infrastructure and Project Finance Group.  Mr. Derhalli concentrates in international and domestic corporate and financial transactions involving commercial banks, sovereign states, multilateral lending agencies, export credit agencies and other corporations.  Mr. Derhalli has also been involved with several asset-based structured financings and related capital markets transactions, primarily in the equipment, real estate and facility areas and has handled a variety of general corporate credit-related matters, including portfolio acquisitions by lenders, revolving credit facilities and corporate restructuring of borrowers.

Recent transactions in which Mr. Derhalli has been involved include:
  • Representation of the Hashemite Kingdom of Jordan in connection with the privatization and rehabilitation of the Queen Alia International Airport in Amman, Jordan;
  • Representation of the Saudi Arabian Ministry of Petroleum with respect to upstream concession arrangements relating to the Neutral Zone area shared between Saudi Arabia and Kuwait (ongoing);
  • Representation of US Eximbank in connection with the US$2.2 billion project financing of the Q-Chem II petrochemical facility and cracker in Qatar (named "2005 EMEA Petrochemicals Deal of the Year" by Project Finance Magazine);
  • Representation of Qatar Petroleum and Exxon Mobil in connection with the financing of the Qatargas II liquefied natural gas facility in Qatar valued at US$11.2 billion (named, "2004 Europe, Middle East and Africa Gas Deal of the Year" by Project Finance International and "2004 Middle East Gas Deal of the Year" by Euromoney's Project Finance Magazine);
  • Representation of the Saudi Arabian Oil Company (Saudi Aramco) with respect to a BOOT project to construct and operate a water desalination plant located at Rabigh, in the Kingdom of Saudi Arabia;
  • Advising the sponsors in the financing of a dam, water barrier and transbasin project in the Guayas province of Ecuador (ongoing);
  • Representation of an Austrian utility, TIWAG-Tiroler Wasserkraft AG, as lessee counsel, in several US/Austrian cross-border leveraged lease transactions involving approximately US$3 billion of assets comprised of hydroelectric generation facilities and electricity distribution grids, including the Sellrain-Silz transaction of 2001 (named "2001 Power Deal of the Year" by Asset Finance International);
  • Representation of Austrian utility, VERBUND Austrian-Hydro Power AG, and its parent company, Österreichische Elektrizitatswirtschafts AG, as lessee counsel, in connection with the restructuring of, and replacement of collateral enhancement products related to, several cross-border leases involving approximately US $6 billion of utility related assets (ongoing);
  • Representation of Amerada Hess Corporation with respect to its acquisition in two LNG regasification terminal projects in Shannon, Ireland and Fall River, Massachusetts;
  • Representation of Dutch utility, Essent Energie Productie B.V., and its parent company, Essent N.V., as lessee counsel, in connection with: the corporate restructuring of Essent, compliance with legislation relating to the deregulation of the Dutch energy sector, and the restructuring of, and replacement of collateral enhancement products related to several transactions from Essent's cross-border lease portfolio (ongoing);
  • Representation of Deutsche Bank AG and other syndicate banks in connection with the debt restructuring of the project financing of the TermoAndes 642.8 MW gas fired power generation plant and the 345 kV InterAndes transmission line on the Argentina/Chilean border, as part of the overall restructuring of AES Gener S.A.;
  • Representation of Scotiabank Inverlat, S.A. in connection with the debt restructuring of the project financing of a resort hotel in the State of Quintana Roo, Mexico;
  • Representation of a Hong Kong rail operator as lessee counsel in the cross border leases of rolling stock and related assets and in connection with a merger with another Hong Kong rail operator (ongoing);
  • Representation of the Tri-Metropolitan County District of Oregon as lessee counsel in connection with the domestic lease financing of rolling stock and related assets;
  • Representation of John Hancock Life Insurance Company and other lenders in connection with a debt private placement for the leveraged lease financing of an oriented strand board production facility; and
  • Representation of American International Group, Inc. and Financial Security Assurance, Inc. and their respective affiliates, as lenders and credit enhancement providers in several cross-border lease financings of assets including aircraft, rolling stock and wastewater infrastructure.
