Practice Experience
Mr. Gordenker advises on projects, financing and corporate matters, with a focus on energy transactions and transactions involving Japan.

Mr. Gordenker has advised on the development and financing of numerous energy projects. Mr. Gordenker is in particular recognized as an authority on liquefied natural gas (LNG) project development and financing, LNG sale and purchase transactions, LNG transportation and related matters. He has more than 20 years of experience in the LNG industry, representing developers, lenders, offtakers and transporters in relation to projects in the Pacific basin, the Middle East and the Atlantic basin. Recent activities include:
  • Advising developers and lenders in relation to the financing of several high-profile LNG projects;
  • Representing Japanese trading companies and utilities on investments in greenfield LNG projects and expansion projects, including structuring, joint venture arrangements, financing and related LNG offtake and transportation arrangements;
  • Representing a leading LNG buyer in connection with the development and non-recourse financing of a fleet of LNG ships;
  • Advising on the development and financing of an independent power and power/water projects in the Middle East;
  • Advising on LNG receiving terminal and export terminal projects in North America;
  • Representing leading Japanese LNG buyers in their negotiation of new and amended LNG sale and purchase agreements;
  • Advising a group of investors in Canadian shale gas resources, which are intended to be developed as a the source of feedgas for an LNG export project; and
  • Negotiating innovative short-term LNG purchases and swaps.

In his corporate practice, Mr. Gordenker handles cross-border mergers and acquisitions, joint ventures, foreign direct investments, restructurings, financings and technology licensing transactions. For example, recent engagement include:
  • Advising Japanese participants in joint ventures for the development of sustainable energy projects in Europe;
  • Representing a leading oil company in its acquisition of a stake in a major, publicly listed Japanese oil refiner, including joint venture agreements with the refiner and its other significant shareholder; and
  • Advising a European manufacturer on the taking private of a publicly listed subsidiary in Japan.
