Practice Experience
Jeremy Duffy is a partner in the Firm's Banking & Capital Markets group in London. He has a broad range of experience, focusing on complex cross-border senior and mezzanine acquisition finance, real estate finance and general banking. Jeremy regularly advises leading global banks, sponsors and corporates in relation to European leveraged finance transactions, investment grade transactions, restructurings, general bank lending, bridge facilities and high yield securities.
Jeremy regularly presents at leveraged finance and restructuring conferences and appears on professional panels as well as frequently writing on national and cross-border financing issues. Jeremy is also a member of the editorial board of the International Financial Law Review.
Jeremy has completed a six month secondment with the UK Banking Legal division of Barclays Bank PLC and a 10 month secondment with the Leveraged Finance Team at Deutsche Bank AG (London Branch).
Representative transactions include:
- Acting for Deutsche Bank AG, London Branch as Facility Agent, Arranger and Lender in relation to an English law senior secured term loan facility to ALMC hf. (formerly Icelandic investment bank Straumur-Burdaras Investment Bank hf.) in a refinancing of Icelandic government-guaranteed debt;
- Acting for Deutsche Bank, Credit Suisse, and UBS as arrangers and lenders in relation to the £30 million Super Senior Revolving Credit Facility for Aston Martin Lagonda Limited, launched concurrently with a new £304 million issuance of senior secured notes by Aston Martin Capital Limited guaranteed by Aston Martin Holdings (UK) Limited and three of its subsidiaries;
- Acting for ABN Amro Bank, BNP Paribas, Credit Suisse, Deutsche Bank, ING Bank, Rabobank and Société Générale as joint arrangers and lenders in connection with a €75 million Super Senior Revolving Credit Facility for the Refresco Group, launched concurrently with the Refresco Group's issuance of Senior Secured Notes;
- Acting for Deutsche Bank AG as sole lender with respect to a £522 million senior secured bridge credit facility provided to KSE, UK, Inc. in connection with its recommended mandatory cash offer made for Arsenal Holdings PLC, the UK listed holding entity for Arsenal Football Club;
- Acting for Bank of America, N.A. as lender in connection with the provision of investment grade loan facilities to various large multinational entities, with an aggregate loan facility quantum of over US$2.5 billion;
- Acting for Nordea Bank AB (publ) as mandated lead arranger in connection with senior debt facilities provided for the purposes of EQT's acquisition of AcadeMedia AB (publ), a publicly-listed company and Sweden's largest provider of private education services;
- Acting for Barclays Capital and HSBC Bank plc as mandated lead arrangers in the provision of £380 million and €360 million of senior debt and £225 million mezzanine financing to Kohlberg Kravis Roberts & Co. for the acquisition of Northgate Information Solutions plc and the subsequent acquisition of Anite Public Sector Holdings Limited. Consideration for the acquisitions was in excess of £1.3 billion;
- Acting for United ACM Holdings, a subsidiary of global broadband communications giant, Liberty Global, on its US$2.19 billion acquisition of Swiss cable company, Cablecom Holding AG. White & Case acted for United ACM on both the acquisition and the financing package put in place to partly fund it;
- Acting for CIBC World Markets plc, Deutsche Bank AG, London Branch and Morgan Stanley Bank International Limited as mandated lead arrangers in the provision of €1.005 billion of senior debt, €70 million second-lien and €200 million mezzanine financing to CVC Capital Partners for the acquisition of Ruhrgas Industries GmbH, the metering and furnacing division of E.ON Ruhrgas AG. He also acted for Deutsche Bank in the provision of staple financing. The total size of the acquisition is €1.5 billion including assumed debt and pension liabilities;
- Acting for the original lenders in relation to loan facilities to finance the acquisition by Wendel Investissement, via various newly incorporated companies, of the Deutsch Connectors Group. The financing consisted of a US$665 million senior and US$60 million second lien financing, a €27.7 million foreign issuance of subordinated and secured mezzanine A bonds and a US$40 million foreign issuance of subordinated and secured mezzanine B bonds;
- Acting for JPMorgan plc and CIBC World Markets PLC in connection with an increase of €500 million in senior, second lien and mezzanine financing for the recapitalisation of Flint Ink Group, a global printing inks company by CVC;
- Acting for Cinven Limited and Goldman Sachs Capital Partners V Fund L.P. in relation to the acquisition and recapitalisation of Ahlsell AB from Nordic Capital. Ahlsell is a Nordic distribution business with operations in Sweden, Norway, Finland, Denmark and Russia. Consideration for the acquisition was in excess of €1 billion. Financing for the acquisition and recapitalisation was arranged by Morgan Stanley and Nordea;
- Acting for Nordic Capital in relation to the recapitalisation of Ahlsell AB, a Nordic distribution business with operations in Sweden, Norway, Finland, Denmark and Russia. The financing for the recapitalisation was arranged by Morgan Stanley and Nordea and totalled SEK 9.4 billion (approx. €1 billion) comprising senior, second lien, mezzanine and PIK facilities; and
- Acting for the arrangers in relation to the proposed provision of facilities to various sponsors in connection with bids to acquire various listed and unquoted targets.
