Practice Experience
John Fisher has represented corporations and private equity funds in a range of complex domestic and cross-border mergers and acquisitions, joint ventures and financings. He has experience in a wide variety of industries with an emphasis on transactions in the technology, energy and financial services sectors.
For three years prior to joining the Firm's Silicon Valley office, Mr. Fisher worked for White & Case in Berlin, Germany. Mr. Fisher began his legal career in New York City.
Mr. Fisher has advised:
- Palm, Inc. in general corporate matters regarding its European business, and in negotiations with European wireless carriers regarding the sale and distribution of the Palm Pre smartphone and other products;
- Google Inc. in its $140 million cash bid to acquire ZAO Begun, a leading Russian contextual advertising service, from Rambler Media;
- 3M Company in its $1.35 billion cash purchase of CUNO, a publicly traded manufacturer of filtration products for the health care, fluid-processing, and potable-water markets;
- Gazprom, Russia’s state-owned oil and gas company, in legal arrangements related to the $5.8 billion purchase of Yukos Oil assets by Eni and Enel, Italy’s leading energy companies;
- Lafarge SA, based in France, in its unsolicited $3 billion going-private tender offer for the remaining 48.6% interest in its NYSE traded subsidiary, Lafarge North America, and in the subsequent squeeze-out merger;
- LinkShare, a NY-based online affiliate marketing service, in an auction process which led to its $425 million sale to Rakuten, an online shopping mall operator based in Japan;
- Euronext, Europe’s leading stock exchange, in its $10 billion merger with the NYSE;
- Renaissance Capital in its joint venture with the Royal Bank of Scotland to issue and market currency, interest rate and credit derivative products, and in the subsequent termination of the joint venture following RBS’s acquisition of ABN Amro;
- ImClone Systems, a biotechnology company which develops targeted treatments designed to address specific genetic mechanisms involved in cancer growth and development, in an auction process;
- The Texas Pacific Group in its $15 billion bid to purchase the Hertz Rental Car Company;
- Citigroup Private Equity in the syndication of its equity commitment in (i) Keane Inc. related to the $850 million purchase of Keane Inc. by a consortium of private equity firms; (ii) ServiceMaster Corporation related to the $4.7 billion purchase of ServiceMaster Corporation by a consortium of private equity firms; and (iii) Dollar General Corporation related to the $7.3 billion purchase of Dollar General Corporation by a consortium of private equity firms;
- Viking River Cruises, based in Luxembourg, in connection with a minority investment by a private equity firm based in Germany, and in connection with a complex corporate financing secured by Ukrainian and Russian river vessels;
- Suez Energy International, a French energy company, in its cash purchase of Bahía Las Minas Corp., an energy company based in Panama, from Prisma Energy International Panamá S.A.;
- Suez Energy International, a French energy company, in its sale of Gas Natural de Lima y Callao, a Peruvian gas company listed on the Perú Stock Exchange, to Promigas, an energy company based in Columbia;
- HSH Nordbank, based in Germany, in a range of cross-border financing transactions;
- Immoeast AG, a publicly traded real estate investment fund based in Austria, in connection with the restructuring of a EUR 1 billion cross-border joint venture;
- Goldman Sachs in a joint venture to buy and sell consumer debt;
- Citigroup Global Markets as underwriter in seven separate debt offerings by Citigroup Funding.
