Practice Experience
Jorge L. Freeland is head of the domestic Corporate & Securities Department in the Miami office. Mr. Freeland has extensive experience in mergers and acquisitions, having represented a number of buyers, sellers and intermediaries in transactions involving assorted industries. Among his clients are some of the most active private equity firms in the Southeast, such as H.I.G. Capital, Brockway Moran and Boyne Capital. He has also advised management groups, special committees and senior and subordinated lenders in sophisticated, highly leveraged acquisitions, tender offers, divestitures and going-private transactions. His experience has enabled him to assist U.S. and offshore clients in designing innovative acquisition structures to address various financing and tax considerations.
Mr. Freeland has represented numerous companies in capital markets activities, from traditional senior debt to complex mezzanine financings. He has advised local, national and multinational clients in structuring, documenting and negotiating secured and unsecured, asset-based and cash flow facilities, incorporating letters of credit, rate swaps, currency hedges and other credit enhancement facilities.
He has also represented numerous issuers and underwriters in public and private offerings of equity and debt securities. Mr. Freeland has also worked with institutional investors and other financing sources in negotiating and documenting debt and equity placements. His experience with clients in a variety of industries and with diverse financial requirements enables him to offer practical and creative advice on securities law issues.
