Overview

Josef advises both domestic and international companies on the corporate tax issues and challenges of major corporate transactions, with a particular focus on the German market. He provides clear advice on complex matters so that clients can proceed confidently and achieve their objectives, ensuring compliance while also achieving tax efficient outcomes. He also counsels clients on the accounting and financing aspects of transactions, as well as on the formation of various legal entities and holding structures. Josef has experience of providing tax advice on a range of deals, including mergers and acquisitions, IPOs, privatizations and PPP projects. He has also advised on cross-border tax planning matters, and has helped clients with company takeovers, MBOs, company reorganization, mergers, demergers, share-for-share transactions and changes in legal form. Josef is in the Firm's Frankfurt office. He practices as a German certified tax advisor and certified public accountant, bringing the knowledge and perspectives of the accounting profession to White & Case clients. Prior to joining the Firm in 1999 he worked in the tax department of a leading international accounting firm for 15 years, working up to the level of Director. As well as his native German, Josef speaks fluent English.

Advising IHI Corporation on tax issues in connection with the acquisition of Steinmüller Engineering GmbH from Siemens AG. Tokyo-based conglomerate IHI produces machinery and plants for a diverse range of industries. Steinmüller Engineering produces systems for power generation, environmental technology and chemical plants.

Deutsche Bank AG, 2013
Advising Deutsche Bank AG on tax issues in connection with the acquisition of the remaining 51 percent shareholding in Xchanging etb GmbH (Xetb) from Xchanging plc. Xchanging has been delivering securities processing services to Deutsche Bank through XTB, a strategic partnership established in 2004. The advice included the negotiation of the tax indemnity clause of the SPA and the identification of specific tax risks pertaining to the target.

Tax advice to Czech Bonatrans Group a.s. in connection with the acquisition of Gutehoffnungshütte Radsatz GmbH (GHH). Both companies are leading suppliers of rail wheelsets in Europe.

Tax advice to the European mid-market private equity firm Motion Equity Partners LLP, in connection with the €334 million sale of ixetic Verwaltungs GmbH to Magna International Inc. ixetic is a manufacturer of automotive vacuum, engine and transmission pumps.

Feintool Group, 2012
Tax planning advice rendered to Swiss Feintool Group in connection with the acquisition of Herzing+Schroth. H+S is a leading developer and manufacturer of high-precision, chipless-formed components for powertrains.

Clariant AG, 2011
Advising Clariant AG, the Swiss specialty chemical group, on tax issues in connection with the €2 billion acquisition of Munich-based Süd-Chemie AG from its majority stockholder, One Equity Partners and numerous family shareholders, in a bidding process. The tax advice comprised in particular the negotiation of the tax indemnity clause, tax planning with respect to real estate transfer tax and mitigation of tax risks.

Tax advice to Türkiye-based Bayraktarlar Holding in connection with the acquisition of the German odelo group headquartered in Schwaikheim. In addition to headlights for motor cars Bayraktarlar is, under its Farba brand, manufacturing tail and signal lights for the automotive industry like odelo.
