Practice Experience
Mr. Keogh’s practice involves securities transactions, acquisitions, divestitures, joint ventures, corporate counseling and strategic advice.
In the securities area, Mr. Keogh represents issuers, private investors and underwriters from several countries in global and domestic public offerings of debt and equity, 144A offerings, debt restructuring, exchange offers and private placements.
Mr. Keogh represents industrial companies, service businesses and securities dealers in negotiated acquisition and joint venture activities, and in spin-offs and dispositions of non-strategic businesses. Many of these transactions are multinational.
Mr. Keogh also provides corporate counseling and strategic advice to senior management and directors of public companies and regularly advises on SEC reporting, disclosure and corporate governance matters.
