Lynn Diamond is a member of the Firm's Competition Practice. Ms. Diamond regularly advises clients on mergers, acquisitions, and joint ventures. She has significant experience counseling clients on the premerger notification filing requirements and related antitrust issues of the Hart-Scott-Rodino Antitrust Improvements Act (the HSR Act). She frequently counsels on cross-border transactions, and has coordinated worldwide merger notifications for transactions requiring clearance in multiple foreign jurisdictions.
Ms. Diamond also advises clients on many aspects of business practices and compliance under the antitrust laws, including vertical restraints, resale price maintenance, price discrimination, and interlocking directorates.
Ms. Diamond's merger clearance experience includes:
- Grupo Bimbo SA de CV's acquisition of the North American fresh bakery business of Sara Lee
- Toshiba Corporation's acquisition of hard disk drive assets from Western Digital in a divestiture transaction
- Pfizer's sale of its Capsugel division to Kohlberg Kravis Roberts & Co., L.P.
- JTEKT's acquisition of the needle roller bearing business of The Timken Company
- HIG Capital (Rotorcraft Leasing) acquisition of Bristow assets in the Gulf of Mexico
Ms. Diamond's experience also includes litigation in antitrust, intellectual property, and false advertising matters, including representation of Saudi Aramco as defendant in a multi-district antitrust class action, and Toshiba Corporation in its defense against allegations of price-fixing of LCD panels.
Most recently, Ms. Diamond represented Zale Corporation in its defense of a claim of false advertising regarding its marketing of Celebration Fire diamonds as the "most brilliant diamonds in the world." The court in that case found for Zale and refused to grant a preliminary injunction that would have required Zale to change its advertising.
Ms. Diamond has counseled clients in a variety of industries, including oil and gas, pharmaceuticals, industrial equipment, food products, and auto parts, and has many years of experience in the diamond and jewelry industry.
