Practice Experience
Melanie Davies is an associate in the Firm's Banking & Capital Markets Group in London. She has experience representing underwriters and issuers (public and private) on a range of debt and equity capital market transactions (outside of the United States pursuant to Regulation S and inside the United States pursuant to Rule 144A), with a primary focus on emerging and developing markets including Africa, the Middle East and Central and Eastern Europe.
Melanie also has experience representing borrowers and international lenders in a wide range of liability management transactions, including complex cross-border tender offers, exchange offers and consent solicitations.
Her structured products transactional experience includes advising on repackagings and cash and synthetic collateralised debt obligations.

- Representation of the underwriters in the US$ 250 million bond offering of Mriya Agro Holding (a Cypriot company with Ukrainian assets).
- Representation of the joint dealer managers of a US$ 1.055 billion exchange offer and consent solicitation to the holders of three tranches of loan participation notes issued for the purpose of financing loans to Closed Joint-Stock Company "ALFA-BANK" to exchange such notes for a combination of cash and US$ Denominated 13.00% Amortising Loan Participation Notes due 2012 issued by Ukraine Issuance plc.
- Representation of the dealer manager in two consent solicitations of Open Joint Stock Commercial Bank Nadra in respect of its US$ 175 million 9.25 per cent. Loan Participation Notes due 2010 amended to US$ 74,574,489 8.00 per cent. Loan Participation Notes due 2017.
- Representation of the dealer managers in the consent solicitation by Open Joint Stock Company Vseukrainsky Aksionerny Bank in respect of its US$ 125 million 10.125 per cent. Loan Participation Notes due 2010 amended to US$ 125 million 10.5 per cent. Loan Participation Notes due 2014.
- Representation of the underwriters in connection with the establishment of a US$ 5 billion GMTN Programme for Bank of Moscow and an issue of US$ 750 million senior unsecured loan participation notes thereunder.
- Representation of the joint lead managers in the issuance of US$ 500 million 8.375% Loan Participation Notes due 2015 by Biz Finance Plc for the sole purpose of financing a US$ 500 million loan to Joint Stock Company "The State Export-Import Bank of Ukraine."
