Practice Experience
Mark Jenkins is an associate in the Firm’s Banking & Capital Markets group in London. His focus is on securities transactions, financial restructuring and non-contentious insolvency. His experience also includes involvement in leveraged and investment grade finance.
Mark joined the Firm in February 2005 and qualified as an Associate in March 2007. In 2007-2008, he spent six months on secondment at one of the Firm's global investment banking clients. There he represented the client in-house on establishments, updates and restructurings of and drawdowns under MTN, CP and ABCP Programmes, including a number of SIV restructurings brought about by the global financial crisis. In 2006-2007, he spent six months in the firm's Hong Kong office working on distressed investments and restructurings involving companies and assets in China and South East Asia.
Examples of Mark’s representations include:
Representing clients on restructurings of securitisations brought about by the global economic downturn;
Representing Qatar Holding LLC, the principal holding company of the Qatar Investment Authority, in connection with the capital markets aspects of its investment of more than US$6 billion (CHF10 billion) in ordinary shares, mandatory convertible securities and perpetual tier 1 capital notes of the Credit Suisse Group AG;
Representing an investment bank in connection with a private placement of notes by a Dutch finance company of a Kazakh financial group;
Representing Merrill Lynch International, as Arranger, and the other Permanent Dealers on the update of the US$11 billion Euro Medium Term Note Programme of American Honda Finance Company and Honda Canada Finance Inc;
Representing Deutsche Bank and HSBC as lead managers on a US$200 million 8.125% bond issue due 2010 for ATF Bank in Kazakhstan;
Representing ING as arranger and ING, JPMorgan and UBS as permanent dealers on a US$1.5 billion debt issuance programme guaranteed by JSC Kazkommertsbank in Kazakhstan;
Acting for Nordic Capital in relation to the recapitalisation of Ahlsell AB, a Nordic distribution business with operations in Sweden, Norway, Finland, Denmark and Russia. The financing for the recapitalisation was arranged by Morgan Stanley and Nordea and totalled SEK 9.4 billion (approx. €1 billion) comprising senior, second lien, mezzanine and PIK facilities;
Acting for Nordic Capital in its €599 million acquisition of Outokumpu Copper Products Oy, a global copper products manufacturer. The transaction involved acquisitions of assets and shares in 15 jurisdictions; and
Acting for NICI Asia Limited (later renamed Perfect Sense Group Limited) in connection with the reorganisation and subsequent sale of its business to a strategic investor following the insolvency of its German parent company.
