Practice Experience

Manfred Ungemach has focused, from the beginning of his professional career in 1993, on the energy industry. He brings to clients in-depth knowledge of the energy sector, in particular downstream electricity and natural gas. He focuses his practice on energy contract and commercial law, energy antitrust and competition, energy trading activities, unbundling and regulatory matters.

In addition, he advises on mergers and acquisitions in the energy sector.

Manfred Ungemach also advised in relation to German power plant projects and currently is advising, inter alia, on the energy-off-take, gas supply and system connection aspects of a gas fired power plant and gas pipeline project in Germany as well as a major German offshore wind park.

His work has included:

Advising on energy supply and transportation agreements (natural gas and power) and acting in arbitral proceedings related thereto
Development of energy trading documentations for various market participants
Advising the European Federation of Energy Traders (EFET) on the development of the first European standard Master Agreement for physical power trading of February 2000, participation as moderator in the preparation of the December 2000 EFET General Agreement as well as advice on the implementation of the EFET 2.1 General Agreement in Germany
Representation of clients in relation to third-party access to energy networks, inter alia, in the first TPA proceedings conducted by the German Federal Cartel Office in the electricity as well as in the natural gas sector
Advising on transmission, connection and balancing agreements concerning the German gas and power distribution and transmission systems
Advising and representing clients in anti-trust and tariff proceedings before the Cartel and Tariff Authorities and in court
Advising on acquisitions and bidding processes for the acquisition of shares in German energy companies, including advice on the privatisation by municipality owned companies
Advising on the framework of unbundling, the implementation thereof and on the preparation for the regulation due to the liberalisation of the European energy markets
Advisor to the sponsors of a gas fired power plant and gas pipeline project in Germany to be financed on a non-recourse or limited recourse basis with regard to in particular the energy-off-take, gas supply and system connection aspects
Advisor to the lenders to a major German offshore wind park with regard to the energy-off-take and system connection aspects
