Global law firm White & Case LLP has advised TotalEnergies on its agreement to acquire 100 percent of Talos Low Carbon Solutions, an American company focused on carbon capture and storage.

The transaction results in TotalEnergies owning a 25 percent share in the Bayou Bend project, a major carbon transportation and storage solution project for industrial emitters. Located along the Texas Gulf Coast in the Port Arthur region, one of the largest industrial corridors in the United States, the Bayou Bend project comprises offshore and onshore licenses dedicated to CO2 storage covering approximately 600km2 that could enable the storage of several hundred million tons of CO2.

TotalEnergies will also own a 65 percent operated interest in the Harvest Bend (Louisiana) project and a 50 percent interest in the Coastal Bend (Texas) project, which it intends to explore divesting.

The White & Case team was led by M&A partner Charlie Ofner (Houston) and included M&A associates Christopher Hebert (Miami), Muhammad Hasan, Daniel Miller (both in Houston) and Marina Gomm Santos (Miami); Environment & Climate Change partner Taylor Pullins (Houston) and associate Taylor Gillespie (New York); Employment, Compensation & Benefits counsel Samantha Rozell and associate Lucee Laursen (both in Chicago); Technology Transactions partner Arlene Arin Hahn and associate Jarrah Al-Buainain (both in New York); Tax partner David Dreier and associate Adriana Zhan (both in New York); Real Estate partner Jason McCoy (Houston); Commercial Litigation partner Melissa Taylormoore (Washington, DC); Energy Regulatory associate R.J.
