Benedikt advises both domestic and international clients in a number of areas of company law, with a particular focus on issues related to capital market transactions and stock corporation law.

He has over 15 years of experience advising both domestic and foreign issuers and investment banks in the course of Initial public offerings, capital increases, other listings, convertible bonds, public takeovers, delistings and similar capital market deals, often involving complex cross-border structures. He has worked with issuers in an array of business sectors, regarding listings on both German and international stock exchanges.

Benedict uses his broad capital markets knowledge and experience to steer clients through the complexities of major deals, thereby ensuring that issuers successfully execute the strategic transactions necessary for their growth and prosperity. Prior to joining White & Case in 2007, Benedikt worked in the corporate and capital markets group of another leading international law firm in Frankfurt and worked with an international investment bank in London.

DZ BANK AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main, 2014

Representation of DZ BANK AG on its €1.5 billion rights issue, a transaction that was the largest capital increase in DZ BANK’s long history, and one of the largest capital increases of a bank in Germany in recent years. The purpose of the transaction was to further strengthen the bank’s capital base in light of the tightening regulatory requirements.

DMG MORI SEIKI Aktiengesellschaft, 2009–13

Representation of the market-leading listed German tool manufacturer DMG MORI SEIKI Aktiengesellschaft (former Gildemeister AG) in connection with its international cooperation with the world’s fourth-largest listed tool manufacturer DMG MORI SEIKI Co. Ltd. (Japan) on various capital increases with and without subscription rights, which totalled €480 million.


Representation of Aixtron SE in its €100 million capital increase. The new shares were placed with institutional investors in an accelerated bookbuilding.

Deutsche Wohnen AG/GSW Immobilien AG, 2013

Representation of DZ BANK AG as conversion trustee in the €1.8 billion public takeover offer of Deutsche Wohnen AG for GSW Immobilien AG. Benedict also represented DZ BANK AG as listing agent for the admission of the new shares issued by Deutsche Wohnen AG as consideration in the course of the public takeover offer.

Deutsche EuroShop AG, 2012

Representation of Deutsche EuroShop AG in connection with a unique and innovative combined placement of convertible bonds and shares, generating total placement proceeds of around €168 million.

EnBW Energie Baden-Württemberg AG, 2012

Representation of a consortium of banks in connection with the €840 million rights issue of one of Germany’s largest energy companies, EnBW Energie Baden-Württemberg AG, and with respect to the listing of new and existing shares with a market value of €4.7 billion.
