Overview

David Barwise offers innovative solutions to his structured finance practice clients, executing complex transactions in both established and emerging markets. Over the course of his career, he has advised on numerous landmark transactions, across the full range of tax-structured products, securitisations, CDOs, debt repackaging deals and derivatives, emerging markets finance and structured lending.

His clients include companies in a variety of industry sectors. They benefit from the combination of his insights into the complexities of working across many jurisdictions, as well as his detailed product experience. David has experience in Western Europe, Central and Eastern Europe, Asia Pacific, Africa and the Middle East.

He is the former Regional Section Head for Western Europe, Middle East and Africa (WEMEA) Banking & Capital Markets and a former member of the Firm's European Operations Committee.

Experience

Temese Funding 1 plc's £270 Million Notes Issue

David led the team that represented Investec Bank plc and Lloyds Bank as joint lead arrangers and joint lead managers on the issuance by Temese Funding 1 plc of £270.25 million notes rated by S&P and Fitch and listed on the regulated market of the Irish Stock Exchange. The transaction was a market-leading event: the first securitisation of UK equipment lease receivables originated by Investec Asset Finance plc, a wholly owned subsidiary of Investec Bank plc, and granted to small and medium-sized companies, corporates and public bodies. Our team acted as international legal counsel.

Deutsche Trustee's refinancing of Deutsche Annington's GRAND

David acted as international legal counsel to Deutsche Trustee Co. Ltd. as security agent and trustee on the early repayment and refinancing of Deutsche Annington's CMBS securitisation German Residential Asset Note Distributor P.L.C. (GRAND). The transaction, with a total value of approximately €5.5 billion in 2006, was the largest of its kind with the refinancing of the residential real estate portfolio via a scheme of arrangement, the first time a scheme of arrangement had been used in the European market in the context of a structured finance transaction.

Şekerbank’s €335 million covered bond programme

David acted as international legal counsel to Unicredit, London Branch as arranger of the first covered bond out of Turkey and the first SME-backed covered bond globally. The first Turkish bond to earn an A3 rating from Moody’s, the transaction was awarded an "EMEA Finance Achievement Award" by EMEA Finance Magazine, which also named it "Best Covered Bond".
