Elizabeth Gonzalez is an associate in our Miami office and is focused primarily on mergers and acquisitions transactions and capital markets and securities matters.
Ms. Gonzalez has extensive experience in advising corporates, private equity funds, sponsors and other equity investors in connection with domestic and cross-border mergers and acquisitions, divestitures, joint ventures and restructurings in the United States and internationally, covering a broad range of industries.
Ms. Gonzalez also regularly represents issuers in connection with cross-border Rule 144A/Regulation S offerings of debt and equity securities.
Ms. Gonzalez is a certified public accountant and worked at a Big Four public accounting firm prior to joining White & Case.
Representation of MMG Limited and the MMG-led consortium, including Guoxin International Investment Corporation Limited (22.5%) and CITIC Metal Peru Investment Limited (15%), on the US$7 billion acquisition of the Las Bambas copper project in Peru from Glencore plc. This deal won the "Global M&A Deal of the Year, Latin America/Peru" award by American Lawyer 2014.
Representation of GDF Suez S.A., a French multinational energy company, which operates in the fields of electricity generation and distribution, natural gas and renewables, in the US$840 million sale of power assets in Panama and Costa Rica to Celsia S.A. E.S.P., one of Colombia’s largest power generators.
Representation of Empresa de Transporte de Pasajeros Metro S.A. (Metro), as issuer, in connection with its inaugural offering in the international capital markets of US$500 million aggregate principal amount of its 4.750% notes due 2024 through a Rule 144A/Regulation S issuance. Metro is the owner and sole operator of the subway system in Santiago, Chile.
Representation of Colombia Telecomunicaciones S.A. ESP (ColTel), as issuer, in connection with its inaugural offering in the international capital markets of US$750 million aggregate principal amount of its 5.375% senior notes due 2022 through a Rule 144A/Regulation S issuance. ColTel is an indirect subsidiary of Telefónica S.A., one of the world's largest telecommunications companies, and the second-largest integrated telecommunications services provider in Colombia.
Representation of Natural Products Group, and its domestic subsidiaries, including Arbonne International, and Levlad, in the restructuring of US$746 million in debt through prepackaged Chapter 11 proceedings. The company's prepackaged plan of reorganization was confirmed less than a month after filing Chapter 11 and reduced the company's debt obligations by more than 80 percent. Natural Products Group is a leader in the manufacture and distribution of personal care products.
