Overview

Gilles is best known for leading 'first-of-their-kind' transactions, from the very first EMTN programme to be governed by French law in 2000 to the first renminbi bond issued by a French company in 2011.

He is part of an expanding team of top-tier lawyers in White & Case's Global Capital Markets Practice, having recently joined White & Case after 27 years in the Paris office of a Magic Circle law firm. He is able to fully support the needs of banking and corporate clients, advising corporations and banks in offerings of securities on the international capital market.

Gilles has also been instrumental in achieving financial law reform in France. In 2010, for example, he chaired the working committee on bonds set up under the auspices of Paris Europlace, an organisation backed by the Ministry of Finance. The committee's recommended reforms of the French Commercial Code and French Monetary Code, to enhance the liquidity and transparency of the secondary bond market, were affirmed by an act of parliament and two implementing decrees.

In 2008, Gilles also chaired the working committee on preference shares set up under the auspices of Paris Europlace. The committee's recommendations for a reform of the French Commercial Code's provisions relating to preference formed the basis of both an act of parliament and a government ordinance.

Additional Tier 1 issuance by Société Générale, 2013

First issuance of AT1 Notes by a European bank following the publication of the European rules governing regulatory capital for banks in June 2013 (US$ 1.25 billion).

Renminbi Bond, 2012*

First-ever renminbi bond issued by a French company (Air Liquide, RMB 2.6bn) (2011) immediately followed by two others (Alstom, RMB 500m and Veolia, RMB 500m).

Aéroports de Paris, 2010*

Combined exchange and tender offer for existing bonds issued by Aéroports de Paris (€500m); the offer anticipated and complied with the future Paris rules on exchange and tender offers, the adoption of which was imminent.

Expert witness, 2009*

Gilles acted as an expert witness on French company law in connection with a patent infringement case before the Regional Trial Court, National Capital Judicial Region of the Republic of Philippines.

Preference shares, 2009*

€5.1 billion issue of preference shares by BNP Paribas in March 2009 and €1.7 billion preference shares by Société Générale in May 2009; the preference shares were subscribed by the French Treasury as part of the French recapitalisation plan for financial institutions (Gilles was the chair of the working committee on preference shares set up under the auspices of Paris Europlace in 2008. See Section 2.2 above).

Euro Medium Term Note, 2000*

Gilles drafted on the very first Euro Medium Term Note programme to be governed by French law in 2000; as a result more than 20 French law EMTN programmes were established by Gilles and his team for the likes of Peugeot, Crédit Agricole, Casino, Danone, LVMH and La Poste.
