Goldman Sachs on the establishment of an innovative private financing/securitisation for Casavo, 2021-22
Giuseppe advised Goldman Sachs International, as arranger and senior lender, and the other senior lenders, in connection with the establishment (and subsequent size increase) of an innovative private financing/securitisation for Casavo, an online PropTech platform in the real estate instant buying market.

Apeiron Management and Apollo funds on a €1.8 billion transaction with Illimity Bank, 2022
Giuseppe advised Apeiron Management S.p.A. and funds managed by affiliates of Apollo Global Management in connection with a transaction with Illimity Bank S.p.A. consisting of the sale and subsequent refinancing of a portfolio of construction claims (riserve tecniche d'appalto) owned by the Apollo Funds with a nominal value of approximately €1.8 billion.

Global investment bank on a securitisation of monetary claims, 2021
Giuseppe advised a global investment bank, as senior noteholder, in connection with the size increase of their senior financing granted to an Italian bank in "note format", through the restructuring of a securitisation transaction of, amongst others, certain monetary claims and connected rights arising under certain terminated as well as on-going leasing agreements carried out by Domizia SPV S.r.l. on 21 December 2020.

York Capital Management on a real estate complex securitisation, 2021
Giuseppe advised York Capital Management Europe (UK) Advisors in connection with a complex restructuring transaction involving, amongst others, the acquisition by funds managed or advised by York, through two separate Italian securitisation structures, of a €150 million non-performing mortgage loan portfolios secured by a combination of hotels, commercial properties and residential properties and the subsequent restructuring of the debtors' indebtedness pursuant to a framework agreement made by and between the investor and the relevant debtors.

Giuseppe advised UniCredit S.p.A., Intesa Sanpaolo S.p.A., BPER Banca S.p.A., Crédit Agricole Italia S.p.A., Crédit Agricole FriulAdria S.p.A. and other primary Italian banks, as originators and initial unitholders, in connection with the setting up of RSCT Fund (Responsible & Sustainable Corporate Turnaround Fund), being an innovative €600 million closed-ended alternative investment fund reserved to professional investors with a focus on unlikely-to-pay (UTP) corporate exposures, managed by Davy Global Fund Management and advised by Pillarstone.

(now Intesa SanPaolo S.p.A.), as arranger, and Pitagora S.p.A., as originator, in connection with the take out of a securitisation of consumer receivables, originated by Pitagora and assisted by the assignment of up to one fifth of the borrowers' salary or pension or by payment delegation, originally implemented by the special purpose vehicle Annette S.r.l. through the issuance of asset backed partly paid notes for a total value of €525 million.

The transaction was organized by the US investment fund King Street Capital Management L.P. with the participation of Starwood Capital Group.

Giuseppe advised a primary Italian real estate company in connection with up to €177.9 million financing to be entered into with, inter alios, a leading Italian bank, which comprises capex facilities for up to €64.1 million; VAT facilities for up to €7.6 million; and facilities for the issuance of letters of credit for up to €106.2 million.
