Jacek Polewski focuses on commercial and competition law. He also has experience in advising on European Union law, in particular, the areas of competition law and cross-border mergers.
In commercial law matters, he has been involved in a number of acquisitions and spin-offs, both private and public, in various sectors, including the pharmaceutical, health, IT, chemicals, construction, banking and insurance sectors. He recently advised a global banking group on the spin-off of a local brokerage house.
In his commercial practice, Jacek Polewski also advises on corporate law matters, including advising on corporate structuring of transactions, shareholders agreements, and corporate restructuring. He also assists in negotiating various contracts where he provides advice on contract law. Recently, he assisted a Polish chemicals company in negotiating a supply contract with a global US-based manufacturing group.
In competition law, Jacek concentrates on competition aspects of mergers. He has successfully represented clients in the proceedings for merger approval before the Polish National Competition Authority. In addition, he advises on other competition law aspects, including anticompetitive practices and anticompetitive clauses in contracts.
Prior to joining White & Case, he was an intern in a Polish law firm in Poznań and a well-known international law firm in Warsaw.
Represented KI Chemistry s.à r.l., a subsidiary of Kulczyk Investments S.A., in connection with the acquisition of a majority of shares in CIECH S.A., the leading European chemical company and the second largest producer of soda ash in Europe. The transaction was carried out by way of a tender offer for the acquisition of up to 66% of the issued share capital of CIECH S.A. Value of the transaction: PLN 835 million (USD 278 million).
Represented Roust Trading Ltd. in connection with the acquisition of CEDC.
Advised BSH on competition aspects of its distribution system.
Represented Chellomedia (Liberty Global group company) and CBS Corporation in their joint notification of the establishment of their joint venture to the Polish competition authority.
Advised PGNiG S.A. on a range of competition law issues arising from the company's activities.
