Overview

Jan Jakoubek, a local partner of White & Case Prague, is a member of the M&A Corporate Practice Group. He specializes mainly in mergers and acquisitions, commercial and media law and corporate finance.

Before joining White & Case in 2016, Jan worked for Kotrlík Bourgeault Andruško law firm in Prague, where he was involved in a number of projects, including complex mergers, acquisitions and restructuring, as well as corporate finance and securities transactions.

In his practice, Jan Jakoubek has advised a number of major international companies on commercial law matters. He also focuses on telecommunications, media, competition and corporate governance issues.

Experience

PPF – USD 2.1 billion acquisition of CME
Jan represented PPF Group in the $2.1 billion acquisition of CME, which operates television stations in Bulgaria, the Czech Republic, Romania, Slovakia and Slovenia. The transaction is subject to customary closing conditions, including the approval of the CME shareholders, the European Commission, and national regulators in certain countries where CME is active.

MVM Group – acquisition of E.ON's Czech Innogy retails operations
Jan advised MVM Group, Hungary's state-owned energy group, on its acquisition of the entire share capital in innogy Česká republika, a.s. from innogy Beteiligungsholding GmbH, a member of the innogy/E.ON Group. MVM Group is a sovereign-owned integrated energy company with the highest market share in the national electricity and gas markets in Hungary.

PPF Group – acquisition of Telenor
Jan represented PPF Group, a global private equity investor, in the €2.8 billion acquisition of Telenor’s telecommunications assets in Central & Eastern Europe (the largest M&A transaction in the CEE telecoms sector, and the largest loan syndication in the region, since 2011).

České Radiokomunikace - transition from DVB-T to DVB-T2
Jan represented České Radiokomunikace, a leading operator of digital terrestrial TV broadcasting multiplexes in the Czech Republic, in the process of its transition from the DVB-T to DVB-T2 broadcasting standard and related release of the 700 MHz frequency band, including work on the drafting and preparation of related legislation in the Czech Republic.

Avast – group restructuring and general corporate advice
Jan represented Avast, the leading global cybersecurity provider, in relation to the group restructuring and day to day general corporate advice.

České dráhy (Czech Railways) – acquisition of 100% shareholding in CHAPS
Jan represented České dráhy (Czech Railways), a Czech national rail carrier, in relation to the acquisition of 100% shareholding in CHAPS spol. s r.o., a developer of sales information systems and public transportation connections search engines, for CZK 400 million (approx. €15.6 million).
