Overview

Joseph Tawil is an associate in the Mergers & Acquisitions Practice Group and is resident in the New York office. Mr. Tawil represents private equity funds and corporate clients in domestic and global mergers, acquisitions, equity investments and joint ventures in a broad range of industries.

Prior to joining White & Case, Mr. Tawil practiced at another large New York law firm where he represented private equity clients with acquisitions and equity investments, including several large multi-jurisdictional portfolios.

Experience

Representation of Air Water Ventures Ltd., a leading sustainable water solutions company, on its entry into a definitive agreement for a business combination with Athena Technology Acquisition Corp. II, a publicly listed special purpose acquisition company, which will result in the formation of The Air Water Company. The transaction values the Air Water Company at a pre-money equity value of US$300 million, and upon closing, the combined company is expected to be listed on the New York Stock Exchange.

Representation of premier technology and networking services provider EchoStar Corporation on its entry into a definitive agreement to combine with DISH Network in an all-stock merger at a fixed exchange ratio. 

Representation of Anthem Inc. in its acquisition of Integra MLTC, Inc., a managed long-term health care plan providing long-term care to individuals and communities in New York.

Representation of Macquarie Infrastructure Holdings, a publicly listed entity (NYSE: MIC), on the sale of the MIC Hawaii businesses, a regulated gas utility and unregulated propane distributor, to an affiliate of Argo Infrastructure Partners, LP., by means of a merger of Macquarie Infrastructure Holdings, LLC with a subsidiary of Argo.
