World Duty Free's €1.25 billion syndicated loan, 2014

Nicholas led the international team drawn from the Firm's lawyers in Milan, Madrid and London, which advised World Duty Free Group, one of the world's leading travel retailers, on their €1.25 billion syndicated credit facilities provided to Spanish and English members of the group. The transaction was comprised of a €525 million term loan and a €725 million revolving credit facility. The syndicate of lenders was led by BNP Paribas.

Waste Italia's €200 million High Yield Bond Issue and new super-senior revolving credit facility, 2014

Nicholas advised Jefferies International Limited as sole bookrunning manager, on the Rule 144A/Regulation S issue of €200 million, 10.5 percent Senior Secured Notes due 2019, and Paribas – as original lender, sole arranger and agent – on the €15 million super senior revolving credit facility provided to Waste Italia S.p.A. The successful completion of the transaction involved a cross-border team of the Firm's lawyers, which established high yield capabilities to support its clients.

Bank Syndicate's €130 million loan to Esprinet, 2014

Nicholas co-led the Milan-based team which advised a syndicate of banks led by Banca IMI S.p.A., Banca Nazionale del Lavoro S.p.A. and UniCredit S.p.A. as arrangers and bookrunners on a €130 million term and revolving credit facility for Esprinet S.p.A., a wholesale distributor of IT and consumer electronics which operates in Italy and Spain.

Bank Syndicate's €1 billion syndicated loan to Prysmian, 2014

Nicholas led the international team which advised a syndicate of banks led by ING Bank N.V. and including Banca IMI S.p.A., BNP Paribas, Citigroup Global Markets Limited, Crédit Agricole Corporate and Investment Bank and UniCredit Bank AG, as arrangers and bookrunner mandated lead arrangers, on a €1 billion syndicated revolving credit facility agreement granted to Prysmian, a manufacturer of energy and telecommunication cables and systems.

Piaggio's €250 million syndicated loan, 2014

Nicholas advised Piaggio & C. S.p.A., the listed Italian manufacturer of motorcycles and scooters, on a €220 million term and revolving credit facility, which may subsequently be increased to €250 million. The syndicate of banks was led by BNP Paribas as coordinator, and included Bank of America Merrill Lynch, HSBC, Banca IMI, Mediobanca and UniCredit as mandated lead arrangers.

Salini Impregilo's €513.3 million institutional share placement, 2014

Nicholas co-led the team which advised Salini Impregilo S.p.A. as issuer, and Salini Costruttori S.p.A. as selling shareholder, on the US and UK law aspects of its €513.3 million share placement to institutional investors of Salini Impregilo S.p.A.'s shares. The placement consisted of a primary sale of newly issued Salini Impregilo shares for approximately €165.5 million, and a secondary sale of existing Salini Impregilo shares for approximately €347.8 million. The shares were sold by Salini Costruttori S.p.A., the principal shareholder of Salini Impregilo. The total value of the transactions was approximately €513.3 million, not including the over-allotment option granted to the underwriters.

Intesa Sanpaolo's US$ funding program and Yankee bonds issuances under the programme, 2013 – 2014

Nicholas advised Italian banking group Intesa Sanpaolo S.p.A. on the annual update of its US$25 billion funding program. He also represented Intesa Sanpaolo in several Yankee bonds (issued under its Medium Term Note programme). These included a US$2 billion 5.017 percent Tier 2 subordinated Yankee bond due 2024; a US$2.5 billion issuance of two Yankee bonds (a deal awarded "Best US dollar senior financial institution transaction in 2014" by Global Capital); and a US$1.25 billion 3.875 percent issuance of Yankee bonds due 2018 (which won Euroweek's 2013 award for US dollar senior financial institution issuance).

S.E.A.'s €300 million Eurobond issuance and €260 million revolving credit facility, 2014

Nicholas advised Società per Azioni Esercizi Aeroportuali S.E.A. S.p.A., the group which operates the Milanese airports at Linate and Malpensa airports in Milan, on its placement of an aggregate amount of €300 million 3.125 percent notes due April 2021, to qualified investors outside the United States. He also advised Società per Azioni Esercizi Aeroportuali S.E.A. S.p.A., as borrower, on a €260 million revolving credit facility with Mediobanca – Banca di Credito Finanziario S.p.A. and BNP Paribas as bookrunners, mandated lead arrangers and lenders.

Aeroporti di Roma S.P.A.'s €1.5 billion EMTN programme, 2013

Nicholas co-led the London and Milan-based team which advised ADR – Aeroporti di Roma S.p.A., the company which manages Rome airport, on the establishment of its €1.5 billion EMTN programme and inaugural issuance of €600 million 3.250 percent Senior Unsecured Notes.
