Overview

Petra Zůnová, an associate of the Prague office, is a member of the EMEA M&A/Corporate practice group. She specializes mainly in mergers and acquisitions and advises clients in connection with day-to-day commercial, corporate and labor law matters and with legal due diligence of target companies.

Prior to joining White & Case in 2014, she worked for a Prague law firm affiliated with one of the Big Four consulting firms.

Petra provides legal advisory services to a number of clients active in the Czech Republic, as well as abroad.

Experience

The owners of CGS Holding a.s., the Czech-based rubber conglomerate, with leading positions in agricultural and specialty tires, as well as engineered polymer solutions, on its acquisition by Swedish industrial giant Trelleborg. The total cash consideration amounted to approximately EUR 1.16 billion on a cash and debt free basis.

P3 Logistic Parks (P3) and TPG Real Estate, a leading global investment company (the previous owner of the P3 developer alongside Ivanhoé Cambridge), on the sale of P3 to GIC, a sovereign wealth fund established by the government of Singapore. With a transaction value of €2.4 billion, this represents the largest deal on the European real estate market in 2016, and the largest real estate deal ever in the Czech Republic.

A private client account managed by the Palmer Capital real estate investment management company (now Arcona Capital), on the acquisition of a portfolio of retail assets in the Czech Republic from Atrium European Real Estate.

Arx Equity Partners, a leading CEE mid-market private equity fund, on the sale of the entire stake in SINGING ROCK, a leading Central European producer of industrial and sport ropes.

Arx Equity Partners and Benson Oak, on their exit from BOCHEMIE, a leading Czech producer of special chemical products.

Brammer, Europe's leading supplier of industrial maintenance, repair and overhaul products, on the USD 7 million acquisition of KOMA Commercial, s.r.o., a distributor of industrial repair and maintenance products active in the Czech Republic, Slovakia and Poland.

Crédit Agricole Corporate and Investment Bank, on the sale of two investment assets located in the Czech Republic and Slovakia to CTP, a full-service commercial real estate developer and manager based in the Czech Republic.

Euroclinicum, the Czech hospital-to-occupational healthcare group owned by Tuffieh Funds, on the acquisition of the Czech arm of Medicover Group, one of the largest private medical facilities in the Czech Republic.

Nestlé Waters, in connection with the sale of Kékkúti Ásványvíz, a water company in Hungary, to Central Europe Mineral Water Holding, a wholly-owned subsidiary of Karlovarské Minerálni Vody, the largest producer of mineral and spring water in Central and Eastern Europe.

Mid Europa Partners, the largest private equity firm focused on Central Europe and Türkiye, in connection with the acquisition of the remaining 50% stake in Walmark, one of the leading consumer healthcare players in Central and Eastern Europe, with a leading position in food supplements and OTC pharmaceuticals.
