Overview

Petri Haussila advises on international corporate and finance transactions for Finnish and other Nordic and international clients. He focuses on securities offerings, debt and equity financings, mergers and acquisitions and general corporate matters.

Petri combines his extensive experience of the Finnish and Nordic market with an exceptionally strong track record in global capital markets and complex cross-border transactions. He gives clarity and confidence to international clients less familiar with the commercial and legal environment of the Nordic region.

In capital markets transactions, Petri represents issuers, selling shareholders, underwriters and placement agents in public offerings and private placements in the Nordic, US and international debt and equity markets. He also frequently acts for companies making Regulation S and/or Rule 144A offerings and initial public offerings that involve share listings on the Helsinki, Copenhagen, Oslo, Stockholm, London, New York or other stock exchanges.

Petri has been involved in many of the largest equity and debt offerings in the Nordic region. Recent transactions have included a number of Finnish and other Nordic IPOs and rights offerings as well as bond offerings, debt programs and convertible and exchangeable bonds.

Petri has also been involved in a number of major Finnish and other Nordic public company M&A transactions, and his track record in this area spans a range of business sectors, including energy, engineering, forestry, mining, pharmaceuticals and telecom. Major recent transactions include Continental AG's purchase of the automotive business of Elektrobit Corporation, SSAB's exchange offer for the shares of Rautaruukki Oyj and Metso Corporation's demerger. He also regularly advises private equity clients on both their investments and their exit transactions.

Petri is the Executive Partner of the Firm's Helsinki office, which he helped to establish in 1992.

Continental AG acquisition of Elektrobit Automotive business, 2015

Representing DAX30-listed Continental AG, one of the leading automotive suppliers worldwide, on its €600 million purchase of the Automotive business of Nasdaq Helsinki-listed Elektrobit Corporation.

Metso Corporation demerger and sale of PAS, 2015 and 2013

Representing Metso Corporation, a global supplier of technology and services to the process industries, in connection with all aspects of its partial demerger, including the listing of new Valmet Corporation on Nasdaq Helsinki. Following the demerger, we also represented Metso on the sale of its Process Automation Systems (PAS) business to Valmet Corporation in 2015.

SSAB share exchange offer, 2014

Representing SSAB, a Swedish steel producer, in connection with its exchange offer for shares in Rautaruukki Oyj, a Finnish manufacturer of metals and metal products, and the listing of SSAB on Nasdaq Helsinki.

Solidium Oy exchangeable bond offerings, 2014 and 2012

Representing Solidium Oy, the Finnish State's holding company for its shareholdings in Finnish and Nordic publicly traded companies, in its offering of €450 million in senior unsecured zero coupon bonds exchangeable into series A shares of Sampo plc, a Finnish insurance company, in 2014 and its offering of €600 million senior unsecured bonds exchangeable into ordinary shares of TeliaSonera AB, a Nordic telecom group, in 2012.

Outokumpu Oyj rights offerings and Inoxum acquisition, 2014 and 2012

Representing Outokumpu Oyj, a leading stainless steel producer based in Finland, in connection with its €665 million rights offering in 2014 and €1 billion rights offering in 2012. In connection with the €1 billion rights offering, we acted as co-counsel for Outokumpu Oyj in its acquisition of Inoxum, the stainless steel unit of German industrial group ThyssenKrupp, valued at €2.7 billion.

Kemira Oyj bond offering, 2014

Representing Kemira Oyj, a global chemicals company serving customers in water-intensive industries and listed on Nasdaq Helsinki, in its €200 million 2.5% five-year bond issue. The bonds were listed on Nasdaq Helsinki.

Rezidor Hotel Group AB share offerings, 2014 and 2006

Representing Rezidor Hotel Group AB (publ), a global hotel group, in connection with its SEK 544 million rights offering in 2014. We also represented Rezidor in its SEK 7.8 billion initial public offering and listing on the Stockholm Stock Exchange in 2006.

Talvivaara Mining Company Plc share and convertible bond offerings, 2013, 2010 and 2007

Representing Talvivaara Mining Company Plc, a Finnish mining company, in connection with its €260 million rights offering in Finland and the United Kingdom in 2013, its €225 million senior unsecured convertible bond offering in 2010 and its €302.5 million initial public offering and listing on the London Stock Exchange as well as subsequent listing on Nasdaq Helsinki in 2007, among others.

Nokia Corporation convertible bond offering, 2012

Representing Bank of America Merrill Lynch, Barclays, Citi and Deutsche Bank, as joint bookrunners, as well as 10 lead managers in connection with the offering of €750 million senior unsecured convertible bonds due 2017 by Nokia Corporation, a Finnish communications and information technology company, convertible into ordinary shares of Nokia.

UPM-Kymmene Corporation acquisition of Myllykoski, 2011

Representing UPM-Kymmene Corporation, one of the largest forest products companies in the world, in connection with its acquisition of Myllykoski Group and Rhein Papier, with an enterprise value of approximately €900 million and the related acquisition financing as well as the financial restructuring of both the Myllykoski Group and Rhein Papier.
