Overview

Multi-lingual Pontus Lindfelt advises multinational companies on matters relating to European Union law and corporate transactions.

Clients seek his counsel regarding significant mergers and acquisitions that may be subject to prior review and approval under EU Merger Control Regulation with a particular focus on the private equity industry. He also advises multinationals on EU cartel investigations and breaches of competition law, as well as on agreements that may be affected by general EU competition rules, such as joint venture agreements, technology transfer agreements, and distribution and purchasing arrangements.

To enable clients to improve their compliance with EU competition law, Pontus helps to set up tailored programmes that include appropriate due diligence regimes, competition compliance reviews and training for company employees on competition law.

With experience across a wide range of sectors, including banking, insurance, paper and pulp, energy generation and distribution, construction materials, airlines, agricultural products, forest machinery, IT and telecommunications, crude oil refining and pharmaceuticals, his advice and insight is highly valued.

Spanish conglomerate in cartel investigation, ongoing

Acting for publicly listed Spanish conglomerate Grupo Uralita, Pontus advised on an EU cartel investigation into sodium chlorate, and its subsequent appeal to the General Court.

Nordic Capital, Acquisition of GHD GesundHeits GmbH Deutschland, 2014

Representing Nordic Capital on the acquisition of a majority stake in GHD GesundHeits GmbH Deutschland from international private equity advisory group IK Investment Partners. GHD is the market leader for homecare services in Germany, providing medical products and services to more than 140,000 patients. With over 1,700 employees, the company is a fully integrated homecare provider, including the production of its own medical supplies and compounded pharmaceuticals and strong wholesale and logistics activities.

Alleged cartel in bathroom fittings and fixtures, ongoing

Representing Sanitec, a leading European ceramics manufacturer, Pontus advised on an EC investigation into an alleged cartel in the bathroom fittings and fixtures sector. He also acted on the subsequent appeal to the General Court.

Representing private equity firm Nordic Capital on its acquisition of a majority stake in Lindorff, the Oslo-headquartered leading European debt collecting company, from Altor and Investor AB.

Representing Nordic Capital in its acquisition of a majority stake of Gina Tricot AB, a leading Scandinavian women's fashion retail company.

Arle Capital, Acquisition of Innovia Group, 2014

Advised the first new fund raised by Arle Capital since its spin out from Candover in 2009 on its acquisition of the Innovia Group, a leading British producer of specialty films for food packaging, labels and security markets.

HG Capital Acquisition Visma, 2014

Advising HG Capital on the sale of interests and re-investment in Visma Group Holdings, the leading Norwegian IT and business software supplier.

Coca-Cola bottling appeal, 2013

Represented Coca-Cola Hellenic Bottling (CCHBC) in its appeal against a 2006 Hellenic Competition Council (HCC) decision. The company was alleged not to have complied with a previous HCC decision, which condemned the company for abuse of dominance in the soft drinks market in Greece.

Pharma company in EC cartel investigation, 2012

Representing Nycomed, a European pharmaceutical company, in a European Commission cartel investigation, Pontus led a detailed examination of the facts. The Commission closed the case against Nycomed without finding any violation of the law and did not impose a fine.

Animal feed cartel investigation, 2012

Acted for Ercros, a publicly listed Spanish chemicals group, in an EU cartel investigation into the market in animal feed additives.
