Overview

Scott's practice focuses on domestic and cross-border multi jurisdictional financing deals and restructurings.

Adept at handling complex, large-scale transactions, he offers clients the reassurance of his significant experience, combined with an understanding of their business needs.

He represents banks and other financial institutions in their capacities as lead arrangers, underwriters and participants across all types of financings, including acquisition, tender and bridge financings, secured high-yield debt securities, asset-based financings convertible note financings, and ship financings. He also provides clarity on workouts and restructurings.

Scott's extensive track record in complex deals involving multiple parties has made him a valued resource for clients seeking to execute challenging transactions swiftly and smoothly. He supports transactions from start to finish, advising on their structure, negotiation and documentation.

Prior to joining White & Case, Scott was a partner and head of the New York Banking and Institutional Finance practice at another leading international law firm. He currently serves on the Advisory Committee of the Heyman Center for Corporate Governance, a research body which raises public and academic awareness of pressing corporate and securities issues.

Scott is also a member of the Executive Partner Counsel of StreetWise Capital Partners, who work with leading corporations to build mentoring relationships between low-income individuals and volunteer business professionals in order to develop workplace skills and employment networks as the bridge to a successful career. He is a member of the Economic Club of New York and a member of the LSTA Primary Market Committee.

Mitel Networks Corporation

Scott represented Bank of America, N.A. and Credit Suisse (USA) LLC, as joint lead arrangers and joint bookrunners in connection with a US$660 million senior secured term loan facility and a US$50 million revolving credit facility made available to Mitel Networks Corporation in connection with its acquisition of Mavenir Systems, Inc.

Production Resource Group

Scott represented Credit Suisse Securities (USA) LLC and Bank of America as joint lead arrangers and bookrunners of a US$150 million senior secured term loan facility made available to Production Resource Group (a Jordan Company portfolio company), in connection with their refinancing of outstanding indebtedness.

Central Security Group

Scott represented Credit Suisse (USA) LLC and Deutsche Bank Securities Inc. as joint lead arrangers and bookrunners, and Credit Suisse as administrative agent and collateral agent, in connection with the approximately US$280 million first-lien credit facility and US$50 million second-lien credit facility provided to Central Security Group, in connection with their refinancing of outstanding indebtedness and the payment of a dividend.

GTCR Valor Companies, Inc.

Scott represented Credit Suisse (USA) LLC as lead arranger and bookrunner of a US$170 million senior secured first lien term loan facility made available to GTCR Valor Companies, Inc. in connection with their acquisition of Discovery Group Holdings Limited (Gorkana).

Education Management LLC

Scott represented BNP Paribas, Credit Suisse, Barclays, Mizuho, Bank of America, JP Morgan and Fifth Third Bank as the ad hoc revolving lenders, in connection with the restructuring of approximately US$1.5 billion in the aggregate indebtedness of Education Management LLC.

Alliance HealthCare Services, Inc.

Scott represented Credit Suisse, Jeffries Finance, SunTrust Robinson Humphrey and Deutsche Bank Securities as lead arrangers and bookrunners, and Credit Suisse as administrative agent and collateral agent in connection with the US$470 million senior secured delayed-draw credit facility made available to Alliance HealthCare Services, Inc. in connection with their refinancing of certain existing bank and senior note indebtedness. Alliance is a provider of outpatient diagnostic imaging and radiation therapy services to US hospitals and healthcare providers.

Doncasters US Finance LLC/Doncasters US LLC

Scott represented Credit Suisse, J.P. Morgan Securities and Merrill Lynch, Pierce, Fenner & Smith as joint lead arrangers and joint bookrunners, and Credit Suisse as administrative agent and collateral agent in connection with the US$875 million first-lien credit facility and the US$290 million second-lien credit facility made available to Doncasters US Finance LLC and Doncasters US LLC, subsidiaries of Doncasters Group Ltd., in connection with their refinancing of certain existing indebtedness of Doncasters Group Limited LLC and its subsidiaries. Doncasters is a leading international engineering and manufacturing group, which is majority owned by Dubai International Capital and its affiliates.

Flowers Foods Inc.

Scott represented Deutsche Bank Securities and Merrill Lynch, Pierce, Fenner & Smith as joint lead arrangers and joint bookrunners, and Deutsche Bank as administrative agent in connection with the US$300 million acquisition term loan facility for Flowers Foods Inc., in connection with their acquisition of the bread-baking operations of Hostess Brands Inc.

Lord & Taylor group

Scott represented Credit Suisse as sole lead arranger and administrative agent in connection with the US$450 million senior credit facility made available to the Lord & Taylor group (owned by NRDC Equity Partners LLC) in connection with their refinancing of certain outstanding commercial mortgage-backed securities.

Public software company

Scott acted for JPMorgan Chase Bank as sole lead arranger, sole bookrunner and administrative agent in connection with a US$1.7 billion senior secured revolving credit facility provided to a public software company.

Pierre Foods Inc.

Scott represented Credit Suisse as joint lead arranger, joint book-running manager and administrative agent in connection with the US$835 million first-lien credit facility and the US$230 million second-lien credit facility made available to Pierre Foods, Inc. (majority owned by funds managed by Oaktree Capital Management, L.P.) in connection with its acquisition of Advance Food Company, Inc. and Advance Brands, LLC. The combined companies are now known as AdvancePierre Foods, a company owned by funds managed by Oaktree Capital Management, L.P., former Advance shareholders and management.

Acquisition of The Hertz Corporation

Scott represented BNP Paribas and The Royal Bank of Scotland as the mandated lead arrangers and Calyon, as co-arranger in connection with the US$2.9 billion international senior bridge facilities made available to Clayton, Dubilier & Rice, Inc., the Carlyle Group and Merrill Lynch to help finance their US$16.7 billion acquisition of The Hertz Corporation from Ford Motor Company.

Global Crossing Limited

Scott represented Goldman, Sachs & Co., Credit Suisse and J.P. Morgan as joint bookrunning managers in connection with Global Crossing Limited's offering of US$750 million in aggregate principal amount of its 12% senior secured notes due 2015, and as dealer managers and consent solicitation agents in connection with the related tender offer for the US$225 million senior notes due 2017 issued by GC Impsat Holdings I plc, a subsidiary of Global Crossing.
