Overview

Thomas McDonald has over 25 years' experience in international financial transactions, with a particular emphasis on asset and equipment finance.

Clients who benefit from his advice include commercial banks, export credit agencies, lessors, lessees and equity participants in cross-border transactions, with respect to aircraft, vessels, rolling stock and other equipment. They value his significant knowledge of all aspects of structuring, negotiating and documenting such transactions.

Thomas' practice focuses on all types of asset leasing and structured finance matters, representing operating lessors on operating lease transactions and representing financial institutions, banks, export credit agencies and airlines on cross-border tax-based and non-tax-based aircraft leasing and finance transactions around the world. He has particular experience in tax-enhanced lease structures and European and US export credit agency-supported finance transactions, with respect to transportation equipment.

In addition, Thomas understands bankruptcy and restructuring matters involving airlines and ship operators, notably in France, Russia and the United States. This includes contentious repossession of aircraft and ships.

Recent transactions in which he has been involved include advising EXIAR, the Russian Export Credit Agency, Vnesheconombank and Natixis in connection with the export credit financing of Sukhoi Superjet 100 aircraft for a Mexican airline. He has also advised a subsidiary of Russian Technologies State Corporation in connection with the acquisition, financing and leasing of 50 new Boeing 737 aircraft.

Other representative clients include Société Générale, SNCF (the French National Railways company), Aercap, ACG, MC Aviation Partners, Jackson Square Aviation, and the Basic Element Group.

Thomas' international credentials are underlined by his significant knowledge of multi-jurisdictional law, having qualified for both French and US courts.

Thomas is advising SNCF in connection with restructuring and various leasing transactions for rolling stock with counterparties in the United States, the United Kingdom, Sweden, Germany and New Zealand.

EXIAR's (Russian Export Credit Agency) support for the financing of Sukhoi Superjet 100 aircraft, ongoing

Thomas advised EXIAR in connection with the export credit financing for Sukhoi Superjet 100 aircraft to Interjet, a Mexican airline. This was the first export credit financing of Superjet aircraft, supported, in addition to COFACE and SACE, by EXIAR. Thomas also advised the lenders (Natixis and Vnesheconombank) on an earlier phase of the transaction prior to the involvement of EXIAR.

Aviacapital Service's acquisition of 50 new Boeing 737 aircraft, 2013

Thomas provided advice to Aviacapital Service, a wholly owned subsidiary of Russian Technologies State Corporation, in connection with the acquisition, export credit finance and leasing to Russian airlines of 50 new Boeing 737 aircraft.

The leasing of aircraft to French and Russian airlines, ongoing

Thomas is assisting ACG Boeing Capital Corporation and Jackson Square Aviation by providing ongoing advice in relation to the leasing of aircraft to Russian airlines, including regulatory issues, customs matters, tax advice and litigation matters. He also assists Aer Cap, AWAS, Boeing Capital Corporation, Jackson Square Aviation and ACG with ongoing advice in relation to the leasing of aircraft to French airlines, including regulatory issues, customs matters, tax advice and litigation matters.

Société Générale's financing of three Airbus A380 aircraft, 2013

Société Générale sought Thomas' advice in the French tax lease financing of three Airbus A380 aircraft operated by Deutsche Lufthansa AG.

CIT's supported financing of more than 30 Airbus aircraft, 2008 to present

Thomas has advised CIT on the ECA supported financing of more than 30 Airbus aircraft.
