Practice Experience
Ross Anderson is an associate in the Firm’s Banking & Capital Markets group in London, specialising in leveraged finance and general bank lending. He has acted on a wide range of transactions for banks and borrowers, including acquisition finance, real estate and development finance, refinancings, project finance and general syndicated finance.
Prior to joining White & Case in March 2007, Ross was a senior solicitor in the banking & finance group of a leading UK national law firm in London and has previously spent six months on secondment with The Royal Bank of Scotland plc in London.
Representative transactions include:
Acting for the mandated lead arrangers, CIBC World Markets plc and The Governor and Company of the Bank of Ireland in connection with the €172.5 million senior and €32.5 million mezzanine facilities provided to Waterland Private Equity Investment B.V. for the acquisition of gaming company, JVH Gaming B.V. from ABN AMRO and NPM Capital NV;
Acting for Deutsche Bank AG, London Branch as mandated lead arrangers in relation to the financing of the US$4 billion acquisition by global healthcare group Fresenius SE of APP Pharmaceuticals Inc., a US manufacturer of injectable pharmaceutical products, through its German subsidiary Fresenius Kabi AG. The financing package consisted of US$2.65 billion senior secured facilities and a US$1.3 billion high yield bridge facility;
Acting for Goldman Sachs, Nordea Bank AB (publ), Skandinaviska Enskilda Banken AB (publ) and HSH Nordbanken AG, Copenhagen Branch in connection with the SEK 2.85 billion additional financing for Providence and Carlyle, increasing the SEK 7.4 billion existing financing for Nordic Communication Services AB (Com Hem), to fund their acquisition of NBS Nordic Broadband Services AB (publ) (UPC Sweden);
Acting for UPC Broadband Holding B.V. in connection with its €3.415 billion and US$1.9 billion financing. The proceeds of the facilities were used to refinance existing indebtedness and for corporate reorganisation purposes;
Acting for Doughty Hanson & Co Real Estate and Liberty Property Trust in the financing of their joint venture acquisition of Blythe Valley Park, Solihull, UK, from The British Land Company PLC;
Acting for Deutsche Bank AG and ABN AMRO N.V. as arrangers and underwriters of €375 million and US$330 million syndicated senior term loan and revolving facilities provided to Corporate Express. N.V.; and
Acting for HSH Nordbank AG as mandated lead arranger for €160 million senior financing and €20 million in mezzanine financing to European mid-market private equity firm HgCapital for its acquisition of talc mining group Mondo Minerals from international white minerals group Omya.
Representations of banking transactions (prior to joining White & Case) include:
Acting for Altor Equity Partners in connection with the US$410.5 million acquisition of the Wrist Group by Wrist Holding A/S. The acquisition involved the taking of security in 6 jurisdictions and was funded by Nordea;
Acting for the mandated lead arranger in relation to a number of development and acquisition finance facilities for some of the leading private healthcare providers in the nursing home and specialist care home sectors, including Caretech Community Services plc, Four Seasons Healthcare and Sunrise Senior Living;
Acting for the mandated lead arranger for the provision of £250 million senior debt facilities for property investment and development purposes to a major UK wide property fund;
Acting for DTI on the Scottish aspects of the restructuring and refinancing of British Energy plc;
Acting for the Bank of Scotland as mandated lead arranger in a number of large project finance transactions relating to the design and build of GP surgeries in various areas throughout the UK;
Acting for Ulster Bank Limited and Ulster Bank Ireland Limited in the provision of lease guarantee and working capital facilities to the purchasers of the Cromwell Hospital, London; and
Acting for EIB on the Argyll and Bute Schools PPP Project.
