Practice Experience
Mr. McGeorge provides counsel on the entire spectrum of executive compensation and employee benefits concerns.  In this regard, he counsels clients in the design and implementation of qualified and nonqualified retirement plans, equity incentive plans, executive compensation arrangements and health and welfare plans.  Mr. McGeorge is also responsible for negotiating and drafting employment and severance agreements on behalf of both corporations and individuals.  In addition, he represents clients in dealings with the Internal Revenue Service, Department of Labor and Pension Benefit Guaranty Corporation with respect to the qualification and operation of their employee benefit plans.

Mr. McGeorge provides transactional counsel in mergers and acquisitions, financings and other types of transactions.  He provides advice to plan trustees, financial service firms and others regarding ERISA's fiduciary responsibilities, including the applicable prohibited transaction rules.
