Practice Experience
Rohit Sachdev's practice focuses on domestic and international corporate transactions, with an emphasis on project financings and asset financings. He represents sponsors, lenders, developers and investors in all aspects of the project development, construction, project financing and financial restructuring of energy-related and other large-scale infrastructure and assets worldwide.
Mr. Sachdev's experience spans projects in the Americas, Asia, India, Europe and the Middle East. He has advised on projects in the oil and gas, power, nuclear power, petrochemical, renewable energy, telecommunications and transportation sectors.
Representative transactions include:
- Representation of Bayonne Energy Center, a joint venture of Hess Corporation and affiliates of ArcLight Capital Partners, in connection with the development, construction and project financing of a 512 MW natural gas-fired, simple-cycle power generation facility to be located at Bayonne, New Jersey. This facility will be interconnected via subaquatic transmission lines with the Gowanus substation owned by Consolidated Edison Company in Brooklyn, New York. This deal was selected as "2010 North America Single Asset Power Deal of the Year" by Project Finance magazine and as "2010 Americas Power Deal of the Year" by Project Finance International magazine.
- Representation of LS Power in the development and project financing of the 235-mile, 500-kilovolt One Nevada Transmission Line, also known as ON Line and Southwest Intertie Project-South (SWIP-S), which is being conditionally guaranteed by the U.S. Department of Energy’s Loan Guarantee Program. The Nevada-based project will consist of the development of a substation and an alternating current transmission line extending across Nevada to deliver up to 600 MW of electricity, including from wind, geothermal and solar sources;
- Representation of Saudi Aramco, as sponsor, in the development and ongoing operation of the US$9.9 billion refinery, ethane cracker and petrochemical complex and associated conversion industrial park in Rabigh, Saudi Arabia. He is currently advising Saudi Aramco in the expansion and project financing of this project, which will include the production and marketing of several differentiated specialty petrochemical products;
- Representation of a foreign development bank in connection with a potential project financing of a nuclear power plant supported by the U.S. Department of Energy's Loan Guarantee Program under Title XVII of the Energy Policy Act of 2005 and its regulations;
- Representation of Cintra Concesiones de Infraestructuras de Transporte, S.A. and the Macquarie Infrastructure Group consortium in respect of ongoing matters in connection with the approximately US$4 billion financing for the Indiana Toll Road.
- Representation of Skyway Concession Company LLC, the concessionaire and operator of the Chicago Skyway Toll Bridge System in Chicago, Illinois, in respect of ongoing matters in connection with a US$1.4 billion senior secured note offering, guaranteed by Financial Security Assurance Inc.
- Representation of IFC in connection with the US$500 million project financing of a 165 MW coal-fired power project (CTA) in Mejillones, Chile. Suez Energy Andino, S.A. is the sponsor;
- Representation of BP Berau and the other sponsors in connection with the US$2.6 billion financing of the Tangguh LNG project in Indonesia operated by BP. The transaction was named as the "2006 Asia-Pacific LNG Deal of the Year" by Project Finance magazine and was also included as one of Asian Counsel magazine's "2006 Deals of the Year";
- Representation of Export-Import Bank of the United States in connection with the project financing and financial restructuring of satellites owned and operated by MEASAT Satellite Systems SDN BHD of Malaysia;
- Representation of a developer in connection with a proposed wind turbine park and transmission line in the Caribbean;
- Representation of Bank of Tokyo-Mitsubishi and Mizuho Bank, as lenders, in connection with a ¥12.5 billion investment grade, corporate term loan facility to FPL Group Capital, Inc. to be syndicated to Japanese banks;
- Representation of Lehman Brothers Real Estate Partners, as private equity investor, in connection with various joint ventures for the development of commercial real estate properties in India, including its US$175 million commitment with Unitech, a publicly traded Indian company, to develop commercial and residential property in Mumbai, India; and
- Representation of Starwood Capital Group, as private equity investor, in connection with its joint venture with Vornado Realty Trust, Hiranandani Properties and The Chatterjee Group for the development, construction and operation of commercial real estate properties in Bandra Kurla Complex, Mumbai, India.
Prior to joining White & Case, Mr. Sachdev worked as an investment banker in Credit Suisse First Boston's Technology Mergers and Acquisitions practice, where he provided M&A and financial advisory services to technology companies in Silicon Valley.
