Practice Experience
Tomoko Sekiya is an associate who currently focuses on international finance transactions involving Asia, and who has broad based experience with financial and corporate transactions.
Her experience includes complex financings ranging from syndicated loans to asset-based credit facilities, international equipment leasing and aircraft financing, as well as restructuring and workout transactions and major corporate transactions such as mergers and acquisitions.
Examples of her recent experience include advising:
- The lenders in a JPY 165 billion (approximately US$2 billion) syndicated bank loan to eAccess Ltd., the Japanese internet service provider and parent of a mobile data company, eMobile Ltd. This transaction is the first in the Japanese market to combine a syndicated loan with a simultaneous high yield bond.
- Japanese owners and leasing companies such as Chishima Real Estate Co., Ltd., SMFL, Yamasa Sangyo Co., Ltd. and airlines in connection with acquisition of aircraft on lease.
- ILFC in connection with the sale of its aircraft portfolio to Macquarie Aerospace Limited.
- Babcock Brown and Nomura Babcock Brown in connection with transfers of existing loan relating to aircraft.
- DBS Bank Ltd, ING Bank, The Royal Bank of Scotland and GE Commercial Finance as joint mandated lead arrangers and bookrunners, on a US$200 million multi-currency syndicated financing guaranteed by Equinix, Inc., a provider of global data center services with corporate headquarters in Foster City, California. The secured term loan, which was successfully syndicated to five more banks, was provided to Equinix's subsidiaries in Hong Kong, Japan, Singapore and Australia.
- WestLB AG on the restructuring of 16 JOL transactions for SAS and portfolio transfer. Restructuring was required following the decision by SAS to cease commercial operation of their fleet of a certain type of aircraft following a number of incidents involving that aircraft. The work has involved extensive negotiations with SAS, Japanese lessors, tax advisers, residual value guarantors and other interested parties, as well as reviewing on-sale and sub-lease arrangements.
- SanDisk Corporation in the restructuring of their two semiconductor production joint ventures in Japan with Toshiba Corporation. This restructuring involved a transfer of a portion of the existing production capacity in the two joint ventures directly to Toshiba and the transfer of the related production equipment for that purpose from the joint ventures to Toshiba.
- Air Lease Corporation in connection with the sale and novation of aircraft leasing transaction of one Boeing B737 aircraft leased to Skymark.
- BNP Parias and Credit Industriel et Commercial on the commercial loan financings of two Boeing 737-800 aircraft acquired by Jackson Square Aviation for lease to Japan Airlines.
- Century Tokyo Leasing Corporation and other lessors in connection with restructuring of existing aircraft lease transactions following the insolvency of Japan Airlines.
- Euler Hermes, Natixis and other lenders in connection with the ECA-financed transaction of one Airbus aircraft subleased to Star Flyer.
- JA Mitsui Leasing as lender in respect of a syndicated financing of two Airbus A380 and two Boeing B777 aircraft leased to Emirates.
- Japanese owners and leasing companies such as Chishima Real Estate Co., Ltd., Sumitomo Mitsui Finance & Lease, Yamasa Sangyo Co., Ltd. and airlines in connection with sale and acquisition of aircraft on lease.
- A Japanese lessor group in connection with the merger of British Airways and Iberia.
