Practice Experience
Mr. Alvarez is engaged primarily in the representation of financial institutions and sponsors/borrowers in corporate, project and structured finance transactions, particularly in Latin America.

Recent transactions in which Mr. Alvarez has been involved as lead partner include: 
  • Representation of Compañía Colombiana de Inversiones S.A., the largest publicly-held company in Colombia, as sponsor, and its subsidiary, Termoflores S.A. E.S.P., as borrower, in a US$150 million senior secured credit facility with International Finance Corporation, Corporación Andina de Fomento and DEG, used to refinance existing debt and to cover the cost of converting Termoflores II and Termoflores III, two of the borrower's three existing power plants operating in Barranquilla, Colombia, from open cycle natural gas-fired power plants into integrated combined cycle power plants; 
  • Representation of a syndicate of 25 banks and Standard Chartered Bank, Calyon (New York branch), BNP Paribas and Banco Bilbao Vizcaya Argentaria as joint lead arrangers in providing a US$500 million senior secured revolving credit facility to PMI Trading Limited, a subsidiary of Petroleos de Mexico (PEMEX); 
  • Representation of Pechiney S.A./Alcan in a US$280 million investment in the expansion of the bauxite and alumina facilities of CVG Bauxilum; 
  • Representation of JP Morgan Securities Inc., ING Capital LLC, Calyon (New York Branch) and BBVA Securities, Inc., as lead arrangers and a bank syndicate of 19 lenders, in an US$800 million syndicated revolving credit facility to Comisión Federal de Electricidad, the Mexican state-owned electricity company; and 
  • Representation of the arrangers/initial purchasers in a US$300 million securitization by Vale of its US dollar-denominated iron-ore export receivables.

Mr. Alvarez has extensive experience in the representation of issuers, underwriters, dealers and other financial intermediaries in all aspects of international and Latin American capital markets transactions, including the private and public offering of equity securities (in the form of depositary receipts) and debt securities (such as commercial paper, certificates of deposit and medium-term notes).
