Practice Experience
Mr. Wynne represents principals in major corporate transactions and financings, mergers and acquisitions, international corporate debt restructurings and public and private securities offerings. He has extensive experience representing private equity sponsors in leveraged transactions, including Trilantic Capital Partners in its acquisitions of NYSE listed Angelica Corporation and MicroStar Logistics Inc. and its investment in MacLean Power Systems.

As lead counsel for principals in mergers and acquisitions transactions, Mr. Wynne is involved in all aspects of structuring, negotiating and documenting deals. He manages and coordinates the involvement of relevant experts in intellectual property, tax, antitrust, ERISA and environmental law necessary for successful completion of the transaction.

Mr. Wynne has been privileged to represent as lead counsel:
  • Qatar Investment Authority in its CHF 7.5 billion investment in Credit Suisse Group AG;
  • Syngenta AG in its US$160 million agreement with Monsanto Co. to acquire Monsanto’s hybrid sunflower seed business;
  • Blackstone Capital Partners L.P. in its acquisition, recapitalization and sale of Transtar, Inc.;
  • United Pan-Europe Communications N.V. in its €10.4 billion recapitalization and its acquisition of @Entertainment;
  • The Prudential Insurance Company of America in its disposition of its AARP Operations and its initial public offering of the Prudential Reinsurance Company;
  • Novartis Pharmaceuticals Corporation in joint venture and co-promotion transactions;
  • Sony Corporation in its acquisition of CBS Records and in the formation of the Sony Microelectronics Company;
  • Saatchi & Saatchi Company PLC in approximately 35 acquisitions, as well as in Saatchi's subsequent recapitalization and disposition of approximately 15 subsidiaries;
  • Clark Equipment Company in its acquisition by tender offer of Club Car, Inc., the sale of its 50% joint venture interest in V.M.E. Group N.V. to Volvo AB and its subsequent sale to Ingersoll-Rand Company; and
  • Newmont Mining Corporation in its successful takeover defense against T. Boone Pickens.

Mr. Wynne has served in various leadership positions in the Firm, including as Chairman of the Management Board and Head of the Mergers & Acquisition Practice.
