Practice Experience
Zohar Liss is an associate in the Mergers and Acquisitions Practice Group, and is resident in the New York office. Mr. Liss represents domestic and international buyers and sellers in private and public domestic, cross-border and global mergers and acquisitions, joint ventures, "going private" transactions and private equity investments in a broad range of industries. He also provides general corporate and corporate governance advice.
Recent transactions include the representation of:
- Fortis Inc., Canada's largest publicly traded utility, in the US$1.5 billion acquisition of CH Energy Group Inc., a regulated transmission and distribution utility. This transaction marks the initial entry by Fortis into the US-regulated electric utility marketplace;
- SSAB Svenskt Stål AB in connection with the $4.038 billion sale of its North American tubular business, IPSCO Tubulars, to Evraz Group, S.A.;
- SSAB Svenskt Stål AB in connection with its acquisition of Canadian steel producer, IPSCO Inc., for approximately $7.7 billion;
- HudBay Minerals Inc. in its proposed acquisition of Lundin Mining Corporation and in the disposition of its interest in Ludin Mining;
- KBC Bank N.V., a Belgian bank, in connection with its acquisition of portfolio companies in the United States;
- BNP Paribas in connection with the restructuring of a subsidiary hedge fund; and
- The GST Group, an international manufacturer of automotive safety components, in connection with its debt and equity restructuring and emergence from Chapter 11 bankruptcy.
