Overview

Adriana Tisi is an associate in our Milan office and her principal practice area is banking and finance.

Adriana advises clients on a broad range of bank finance transactions. She assists domestic and international arrangers and lenders, sponsors and borrowers, in high profile transactions within the Italian market. Adriana regularly represents clients on complex banking transactions, regularly working with cross-border interdisciplinary teams of lawyers.

Experience

Brebemi in connection with its €1.679 billion project bond financing. The transaction consists in a four tranched €1.679 bond issuance and approximately €307 million in credit facilities, granted by a pool of banks which included UniCredit, Banco BPM, Unione di Banche Italiane, Monte dei Paschi di Siena e Intesa Sanpaolo.

Crédit Agricole Cariparma S.p.A. as lender, in connection with the senior financing granted in favor of Orienta Partners for the acquisition of Virosac S.r.l., Italy’s leading manufacturer of domestic and professional trash bags, fridge and freezer food storage bags, and products for the kitchen, home cleaning and organization.

Libero Acquisition and its subsidiary Sunrise Investments in connection with the €225 million bridge, term and revolving financing granted by Banca IMI, Banco BPM and UBI Banca to fund their voluntary tender offer for all ordinary and saving shares of Italiaonline S.p.A.

Pemberton Asset Management in connection with the structuring and underwriting of €133 million senior secured floating rate notes due 2024 issued by Italcer S.p.A. The issuance will partly finance the acquisition of Ceramica Rondine S.p.A.

Open Fiber S.p.A. in connection with its €3.5 billion term and revolving credit facilities.

Enel Américas S.A. in connection with its up to USD1 billion revolving financing granted by a group of lenders led by BNP Paribas, as documentation agent, and Credit Agricole, as administrative agent and also included Citibank, JPMorgan and Sumitomo Mitsui.

UniCredit S.p.A., Unione di Banche Italiane S.p.A. and Banco BPM S.p.A. in connection with the €55 million term and revolving credit facility entered into by the private equity fund Clessidra SGR to finance the acquisition of Scrigno Group.

Wind Tre S.p.A. in connection with its €7.3 billion issuance of high yield senior secured notes, in a combination of euro-denominated fixed and floating rate notes and dollar-denominated fixed rate notes, issued pursuant to Rule 144A and Regulation S under the Securities Act.

Wind Tre S.p.A. in connection with a €3.4 billion senior facilities agreement consisting of a €3 billion amortizing term loan and a €400 million revolving credit facility.
