Agathe Delalande is an associate in the EMEA private equity team of our Global Mergers & Acquisitions practice at White & Case.

Agathe's practice covers a wide range of both domestic and international private equity, corporate and M&A transactions. Agathe advises banks, private equity funds, industrial and services listed and non-listed companies, family offices and entrepreneurs, with a focus on cross-border transactions, notably in Europe and Africa.

She has a strong expertise in public M&A related matters, advising issuers and investors with respect to their obligations under French securities laws and regulations in connection with takeovers, acquisition of stakes, and mandatory disclosures.

Agathe has recently worked on takeover bids (e.g. the offer of OncoDNA over IntegraGen, or the offer of Covidien Group over Medicrea), private equity deals (e.g. the build-up of the MCS and DSO groups, respectively held by BC Partners and Montefiore Investment, and the acquisition by the combined MCS-DSO group of its Italian competitor Sistemia from KKR) or M&A transactions (e.g. the sale by BNP Paribas of several stakes in Africa, the sale of SAB by its founders to Sopra Steria).

She joined White & Case as an associate in October 2015.

Representation of Emerging Capital Partners (ECP), one of the largest and longest-established private equity fund managers focused on Africa, in connection with Togocom's privatization, first telecom operator in Togo, alongside its international consortium partner Axian.

SAB (2019 / 2020)
Representation of the founders and majority shareholders of SAB, one of France's leading core banking developers, in connection with the sale of the SAB group to the European leader in digital transformation Sopra Steria, whose shares are listed on Euronext Paris, after an open-bid process.

BC Partners / Louvre Bidco (2018 – 2019)
Representation of BC Partners and Louvre Bidco in the context of the combination of the MCS group and the DSO group, both acting in credit management services in France focused on both complementary lines of business: debt purchasing and debt servicing, and in the context of the acquisition, by the combined group MCS-DSO, of the Italian group Sistemia from KKR.

Saferoad (2018 / 2020)
Representation of Saferoad AS, a leading road safety and road infrastructure solutions provider in Northern, Central and Eastern Europe, in connection with the acquisition of Tubosider France, a manufacturer of corrugated steel pipe.

Smartbox (2017)
Representation of the Smartbox group in connection with the closing of a €167 million financing from four leading European financial institutions: Crédit Agricole Corporate and Investment Bank, Allied Irish Banks, Crédit Suisse International Wealth Management and Caixabank, and relating corporate reorganizations.

QIA / Kingdom Holding Company (2016)
Representation of FRHI Holdings Limited, Qatar Investment Authority (QIA) and Kingdom Holding Company of Saudi Arabia in connection with the US$2.9 billion stock-and-cash sale of FRHI, the parent company of luxury hotel brands Fairmont, Raffles and Swissôtel, to the French world-leading travel & lifestyle group Accor.

Representation of Arval, a fully owned subsidiary of BNP Paribas specialized in full service vehicle leasing, in connection with the acquisition of GE Capital's European fleet management activity. The scope of this acquisition covered more than 160,000 vehicles in 12 European countries with the vehicles assets amounting to €2.4 billion.
